  La Présidente. – L’ordre du jour appelle la discussion commune sur:

- le rapport de Wolf Klinz, au nom de la commission des affaires économiques et monétaires, sur la proposition de directive du Parlement européen et du Conseil modifiant la directive 2009/65/CE du Parlement européen et du Conseil et la directive 2011/61/UE du Parlement européen et du Conseil en ce qui concerne la distribution transfrontière des fonds communs de placement (COM(2018)0092 - C8-0111/2018 - 2018/0041(COD)) (A8-0340/2018), et

- le rapport de Wolf Klinz, au nom de la commission des affaires économiques et monétaires, sur la proposition de règlement du Parlement européen et du Conseil visant à faciliter la distribution transfrontière des fonds communs de placement et modifiant les règlements (UE) nº 345/2013 et (UE) nº 346/2013 (COM(2018)0110 - C8-0110/2018 - 2018/0045(COD)) (A8-0431/2018).

  Valdis Dombrovskis, Vice-President of the Commission. – Madam President, investment funds provide opportunities for European citizens to save for their future. They are also an important tool to channel private savings into the economy and increase funding for European companies.

But today the markets for investment funds are mostly national. For example, 70% of investment funds are sold only in the domestic market. The share of UCITS funds – that is marketed in more than three countries – is relatively low, 37%, and for alternative investment funds the share is even lower, only around 3%. This is partly due to regulatory barriers that hinder cross—border fund distribution.

As part of the capital markets union, the Commission proposed measures to reduce these barriers and improve the functioning of the single market for European investment funds. Our goal is simple. We want managers from anywhere in the EU to be able to easily sell their funds across the EU without compromising on investor protection. We propose to achieve this by reducing administrative burdens and by improving clarity for fund managers who want to market their funds across the EU.

I would like to thank the rapporteur, Mr Wolf Klinz, and the shadow rapporteurs for making efforts to advance the file quickly.

I would also like to congratulate you for having quickly achieved a political agreement with the Council in trilogue negotiations. The Commission supports the agreement reached. It strikes the right balance between facilitating cross—border distribution of investment funds and ensuring investor protection. I would give you one example of this careful balance. Parliament and the Member States decided to allow managers to promote actively the existing funds to potential new investors without having to comply with all the marketing rules. At the same time, the co-legislators introduced safeguards to ensure sound supervision of these practices and limit the risk of the circumvention of EU rules.

I hope that tomorrow’s vote will confirm this important building block of the capital markets union.

  Alain Lamassoure, au nom du groupe PPE. – Madame le Président, Monsieur le Commissaire, je voudrais féliciter l’équipe de négociations sous l’autorité de notre rapporteur Wolf Klinz, qui devrait arriver d’une minute à l’autre, pour le résultat qui a été obtenu sur cet important dossier.

Nous allons voter demain un texte important pour le parachèvement de l’union des marchés des capitaux, comme vient de le rappeler le vice-président Dombrovskis. La Commission sortante, dont je salue le travail en la matière, avait souhaité apporter des réponses précises et ciblées aux barrières qui subsistent encore pour les investissements transfrontières au sein de l’Union.

L’accord trouvé avec le Conseil au cours des négociations interinstitutionnelles semble satisfaisant et équilibré. Il prend en compte la plupart des questions qui avaient été soulevées par le Parlement. Il propose notamment de rendre la procédure de dénotification des fonds plus pragmatique, en abolissant la logique des seuils qui était par nature arbitraire. De même, pour ce qui est de la pré-commercialisation, sous l’impulsion du Parlement le mécanisme a été élargi aux fonds préexistants et les exigences relatives aux documents de pré-commercialisation ont été rationalisées. Ainsi l’outil sera plus efficace et adapté aux objectifs poursuivis. Au total, nous sommes parvenus à maintenir les garde-fous nécessaires pour éviter que ces nouvelles opportunités ne donnent lieu à d’éventuels contournements, notamment de la part d’acteurs de pays tiers.

Enfin, alors que l’idée d’une supervision européenne, au niveau d’une autorité européenne, semble parfois contestée, je me réjouis de voir que le compromis répondant à la volonté du Parlement donne un rôle accru à l’Autorité européenne des marchés financiers, l’ESMA. Cette évolution vers plus de supervision commune est un volet indispensable au fonctionnement fluide et efficace de notre union des marchés des capitaux.

  Mady Delvaux, au nom du groupe S&D. – Madame la Présidente, je voudrais à mon tour remercier l’équipe et surtout notre rapporteur, M. Klinz, qui a mené nos débats et les trilogues avec beaucoup d’efficacité, ce qui nous permet de clore le dossier avant la fin de la mandature.

Cette réglementation a pour objectif de faciliter la distribution transfrontière des fonds d’investissement car actuellement, la plupart des fonds européens ne sont proposés que dans un seul État membre, leur État national, et beaucoup de gestionnaires hésitent à entrer sur un nouveau marché, ce qui réduit le choix des investisseurs de ce pays. Or, nous avons besoin en Europe d’investisseurs et de capitaux pour financer notre économie, d’où cette proposition qui devrait enlever des barrières et encourager les fonds à explorer le potentiel d’un nouveau marché, en définissant par exemple ce qu’est le prix marketing. Elle harmonise aussi les conditions selon lesquelles les fonds peuvent quitter le marché d’un État membre si le succès espéré n’est pas au rendez-vous. Nous avons beaucoup insisté pour que les autorités de surveillance soient informées des activités des fonds dans un État donné afin qu’elles puissent accomplir leur mission de surveillance et pour qu’il y ait un véritable échange d’informations entre les autorités de surveillance, mais aussi avec l’Autorité européenne. En effet, ce sont les conditions indispensables pour garantir une information et une protection adéquates des investisseurs, c’était notre préoccupation principale. Grâce aux compromis trouvés, nous sommes également certains que les gestionnaires de fonds continueront à remplir leur obligation d’information envers les investisseurs d’un pays, même après l’avoir quitté.

Je ne voudrais pas terminer sans dire un mot sur les PRIIP et le document d’informations clés. Mon groupe n’a pas demandé qu’un délai supplémentaire de deux ans soit accordé aux OPCVM avant qu’ils ne soient obligés d’appliquer les dispositions relatives au document d’informations clés.

J’en appelle à la Commission d’accélérer les travaux afin que cette extension ne soit pas de deux ans mais qu’elle soit la plus courte possible.

  Νότης Μαριάς, εξ ονόματος της ομάδας ECR. – Κυρία Πρόεδρε, η ανάπτυξη της ευρωπαϊκής κεφαλαιαγοράς είναι πράγματι αναγκαιότητα, ιδίως σε μια φάση όπου το ίδιο το τραπεζικό σύστημα δεν μπορεί να ανταποκριθεί στη ρευστότητα που είναι απαραίτητη για την ανάπτυξη της πραγματικής οικονομίας. Για τον λόγο αυτόν, τα συλλογικά επενδυτικά κεφάλαια μπορούν να παίξουν σημαντικό ρόλο και μάλιστα συγκεντρώνουν πολλά δισεκατομμύρια ευρώ. Ταυτόχρονα, όμως, πρέπει να παρατηρήσουμε ότι σε μεγάλο βαθμό αυτά τα κεφάλαια δεν κατευθύνονται στην πραγματική οικονομία. Επί του πρακτέου, αποτελούν μέρος και λειτουργία αυτού που ονομάζουμε «οικονομία-καζίνο», γι’ αυτό και πρέπει να υπάρξει ένας επιπλέον έλεγχος. Διευκόλυνση σε επίπεδο διασυνοριακό, αλλά ταυτόχρονα οι εθνικές εποπτικές αρχές πρέπει να έχουν τα μάτια τους ανοιχτά και να μπορούν να παρακολουθούν τις εξελίξεις και να βλέπουν ότι αυτά τα κεφάλαια όντως επενδύονται στην πραγματική οικονομία και προστατεύονται οι ίδιοι οι επενδυτές.

  Stefan Gehrold (PPE). – Frau Präsidentin! Die zu verabschiedenden Regelungen zur Vereinfachung des grenzüberschreitenden Vertriebs von Investmentfonds sind ein wichtiger Schritt zur Beseitigung von Hindernissen im Binnenmarkt. Sie fördern die Kommunikation und die Transparenz und führen zu einem integrierteren Markt.

Der Zuwachs an Wettbewerb erlaubt es Finanzdienstleistern, eine erweiterte Angebotspalette vorzuhalten. Dies schafft mehr Möglichkeiten für Investoren, was sich wiederum positiv auf Finanzierungsbedingungen auswirkt, sowohl für den Einzelnen als auch für Unternehmen, insbesondere KMU.

Ich sage dies an dieser Stelle nicht nur als Wirtschafts- und Finanzpolitiker, sondern auch als Entwicklungspolitiker. Denn unser Engagement sollte über die Grenzen Europas hinausgehen und eben auch Wohlstand bei unseren Partnern fördern. Ich betrachte es daher als Pflicht, für die Unternehmen und deren grenzüberschreitendende Zusammenarbeit zu sorgen und diese zu unterstützen, und ich begrüße neben dem vorliegenden Vorschlag auch den Vorschlag zur Nutzung von KMU-Wachstumsmärkten. So, wie es der verbesserte Zugang zum Kapitalmarkt den Unternehmen vereinfachen wird, dort Finanzierung zu suchen, wird der angemessene, grenzüberschreitende Vertrieb von Investmentfonds es den Finanzdienstleistern ermöglichen, ihre wichtige Stelle als Intermediäre wahrzunehmen.

  Neena Gill (S&D). – Madam President, firstly, my sympathies on hearing about the fire at Notre Dame Cathedral. It is really very sad – a beautiful cathedral.

Now to the report. The smooth distribution of EU cross-border investment funds is hindered by national regulatory barriers. Of the EUR 14.3 trillion investment fund, 70% of total assets under management are held by funds authorised or registered for distribution only in the domestic market. Only 37% of UCITS and about 3% of alternative investment funds are currently registered for distribution in more than three Member States. This makes a Capital Markets Union rather meaningless. So four years on, this flagship project will finally reduce some barriers, increase transparency and remove overly complex and burdensome national rules. It is a win for the investors, getting more choice, better value and protection.

I welcome this reform as a critical step. However, to ensure, say that a Portuguese retail investor can be fully confident in investing in Latvian investment products, more work needs to be done in terms of the fees charged. My question to the Vice-President is: are there any preparations for greater transparency and standardisation on the capping of the fees charged?

  Sirpa Pietikäinen (PPE). – Madam President, there is a desperate lack of both venture capital and own investment from collective investment funds in Europe. As my colleague Neena Gill already said, at the moment, compared with the USA or compared with Asian countries, our situation is close to meaningless because Member States are setting different kinds of rules because of the cost structure and because marketing regulations are very opaque. The investors have not dared to really take up the Capital Markets Union. So I really do welcome this piece of legislation that actually, hopefully, opens things up by setting clearer rules for pre-marketing and marketing regulation, and thus also improves consumer protection. The next steps that should be taken are creating fully fledged European supervision, and then a greater transparency on cost structures.

  Valdis Dombrovskis, Vice-President of the Commission. – Madam President, once again I would like to thank the rapporteur Mr Klinz and the shadow rapporteurs for their commitment. I look forward to the vote tomorrow, which should pave the way for a swift entry into force of this legislative package. We estimate up to EUR 440 million in cost savings for fund managers thanks to our measures. This will accelerate the growth of the single market for investment funds, boost competition between asset managers and ultimately give more choice at lower costs for investors.
