Investment funds are products created to pool investors' capital and to invest it in a collective portfolio of securities. The characteristics of a range of different types of investment funds have been established in Union law, and most funds on the market are categorised as one of these types. The market in the EU is smaller than in the United States, despite there being far more funds in the EU. This is why the European Commission has adopted two legislative proposals: one for a regulation aligning national requirements for marketing funds and regulatory fees and harmonising the process and requirements for the verification of marketing material by national competent authorities, and the other for a directive harmonising the conditions under which investment funds may exit a national market and allowing European asset managers to engage in pre-marketing activities. Following trilogue negotiations, provisional agreements were reached on 5 February 2019. Parliament is expected to vote on those during the April II 2019 plenary session.

The present work provides a study of analysis of the EU Court of Justice’s Polbud judgment on the cross-border conversion. It has been commissioned by the European Parliament’s Policy Department for Citizens’ Rights and Constitutional Affairs at the request of the JURI Committee. This study focuses on the implications of the judgment for the freedom of establishment of companies across the EU, including the potential risk of “forum and tax shopping” as well as for the protection of creditors, minority shareholders and workers.

A Europe without internal borders? Free movement of persons

Different groups of EU citizens enjoy the right to freedom of movement across the EU, making it possible to work in another Member State, retire, study, set up a business, follow a family member or look for a job. EU citizens, tourists and businesses benefit from these rights as well as the Schengen area, which greatly facilitates freedom of movement. Contrary to popular belief, thus opening internal EU borders has not led to an increase in crime. Rather, Schengen innovations such as enhanced police cooperation and harmonised external border controls help Europe work against cross-border crime. Closing EU internal borders again could lead to costs of between €100 and 230 billion over 10 years.

Proportionality test for new national regulations for professions

In the EU, professions are regulated at either Union or Member State level. In the latter case, qualification requirements can differ widely between Member States, due to their respective historical development and experience. This can lead to a lack of clarity on the criteria used, and result in fragmentation of the single market. The proposed directive on a proportionality test before adoption of new regulation of professions, tabled by the European Commission, intends to harmonise the way in which proportionality tests are carried out before Member States introduce new regulation on professions. The directive will supplement provisions of Directive 2005/36/EC on the recognition of professional qualifications, last amended by Directive 2013/55/EU. The European Parliament proposes a specific status for healthcare services, and explicitly addresses gold-plating practices (unnecessary national requirements). With a text agreed between Parliament and Council in trilogue in March, Parliament is due to vote on whether to confirm this text in June. Second edition. The Directive on Undertakings for Collective Investment in Transferable Securities (UCITS) provides for strong investor protection and creates a label for European retail investment funds. The Directive on Alternative Investment Fund Managers (AIFM) lays down rules for the authorisation, supervision and oversight of managers of non-UCITS funds, i.e. alternative investment funds (AIFs). Facilitating cross-border investment remains an essential part of the European Commission's action plan on building a capital markets union (CMU); the current legislative initiative is limited to facilitating further the cross-border distribution and supervision of UCITS and AIFs, mainly by reducing national regulatory barriers. This briefing presents the rationale for both the existing legislation and the new legislative proposal, as well as the positions of the institutional bodies and stakeholders.

EU-US bilateral agreement on prudential measures regarding insurance and reinsurance

The EU-US agreement on insurance and reinsurance was signed in September 2017. It aims at eliminating some key trade barriers in the sector, in particular collateral and local presence requirements. The agreement also tackles the issue of supervisory authority and exchange of information. The European Parliament is due to vote on giving its consent to the Council for the conclusion of the agreement during its February II plenary session.

Laisvas darbuotojų judėjimas

Viena iš keturių laisvių, kuriomis naudojasi ES piliečiai, yra laisvas darbuotojų judėjimas. Ji apima darbuotojų teises atvykti į šalį ir joje apsigyventi, šeimos narių teises atvykti į šalį ir joje apsigyventi, taip pat teisę dirbti kitoje valstybėje narėje ir būti traktuojamam taip pat, kaip tos valstybės narės piliečiai. Apribojimai taikomi valstybės tarnybai. Europos darbo institucija yra agentūra, atsakinga už laisvą darbuotojų judėjimą, įskaitant komandiruotus darbuotojus.

Socialinės apsaugos sistemų koordinavimas sudaro palankesnes sąlygas laisvam asmenų judėjimui ES. 2010 m. buvo atlikta esminė šios srities teisės aktų reforma, o vėliau ją papildė kiti teisės aktai, kuriais gerinama judžių darbuotojų teisių apsauga. 2016 m. Komisija į darbuotojų judumo dokumentų rinkinį įtraukė pasiūlymų, kuriais siekiama toliau reformuoti sistemą ir pritaikyti ją prie šiuolaikinių ES ekonominių ir socialinių realijų.

The models adopted by other EU member states and Italy for managing coastal property are here compared, in order to verify their functionality and effectiveness.
