  Klaus-Heiner Lehne, Berichterstatter. − Herr Präsident, meine sehr verehrten Damen und Herren! Ich habe hier zwei Berichte zu vertreten, die beide aus dem Rechtsausschuss des Europäischen Parlaments kommen.

Ich möchte mit dem aktuell Bedeutsameren anfangen, weil er schon ein konkretes, durch die Kommission eingeleitetes Gesetzgebungsverfahren betrifft, nämlich die Europäische Privatgesellschaft. Dies ist ja – wenn man das so sagen darf – das gesetzgeberische Kernelement des sogenannten Small Business Act.

Ein paar Anmerkungen zur Historie: Die Idee der Europäischen Privatgesellschaft befand sich bereits in dem Aktionsplan Gesellschaftsrecht von Kommissar Bolkestein. Aus Gründen, die für mich nie nachvollziehbar waren, ist dann im Laufe der Jahre, im Laufe der Amtszeit dieser Kommission, die Idee der Europäischen Privatgesellschaft quasi aus dem Aktionsplan gestrichen und von der Kommission zunächst nicht weiter verfolgt worden.

Das Europäische Parlament hat hier aber eine gegenteilige Ansicht vertreten und vor diesem Hintergrund einen legislativen Initiativbericht nach Artikel 39 der Geschäftsordnung und Artikel 192 des Vertrags auf den Weg gebracht und mit überwältigender Mehrheit hier im Hause vor einiger Zeit beschlossen. Die Kommission sah sich ob dieser Umstände genötigt, die Idee der Europäischen Privatgesellschaft erneut zu überdenken, und hat sie jetzt im Rahmen des Small Business Act mit vorgeschlagen. Wir begrüßen das ausdrücklich.

Dies ist ein Angebot insbesondere für die mittelständische Wirtschaft in Europa für eine eigene Gesellschaftsform, die es bis jetzt nur für die Großunternehmen gibt, nämlich in Gestalt der Europäischen Aktiengesellschaft. Ich glaube, dass es längst überfällig war, einen solchen Vorschlag zu machen. Da dies an die mittelständischen Unternehmen gerichtet ist und hier auch die Möglichkeit von Neugründungen bestehen muss, also auch von Unternehmen, die aus der Idee heraus entstehen, ein Unternehmen gründen zu wollen, und nicht als Umwandlung, oder Spaltung oder Fusion bestehender oder anderer Unternehmen gedacht sind, begrüßen wir es auch, dass sich die Europäische Kommission im Hinblick auf die Erfordernisse, die an den grenzüberschreitenden Charakter gestellt werden, zurückgehalten hat. Ich denke, das haben wir auch im Parlamentsbericht getan.

Wir halten es auch für richtig, dass auf europäischer Ebene alle die Fragen gesetzgeberisch geklärt werden müssen, die insbesondere das Kapital und insbesondere auch die Haftung betreffen, weil gerade das für mittelständische Unternehmen ein Problem ist, denn sie haben angesichts der Tatsache, dass sie heute mit höchst unterschiedlichen nationalen Rechtsformen arbeiten müssen, hier einen erheblichen Beratungsbedarf, der durch diese neue Rechtsform wegfallen kann.

Wir sind auch der Ansicht, dass wir uns der Rechtsprechung des Europäischen Gerichtshofes anschließen bei der Frage, ob der Sitz des Unternehmens identisch sein muss mit dem Registersitz bzw. dem Verwaltungssitz, dass also nur ein Sitz des Unternehmens vorgesehen werden kann. Ich weiß, dass es in dieser Frage eine Minderheitenansicht hier im Hause gibt, aber wir im Rechtsausschuss des Europäischen Parlaments sind hier mehrheitlich der Ansicht, – ich nehme an, das Plenum wird dem morgen folgen – dass durchaus eine Trennungsmöglichkeit bestehen muss und dass wir hier nicht eine europäische Unternehmensform gegenüber nationalen Unternehmensformen benachteiligen können, die diese Möglichkeit ja nach der Rechtsprechung des Europäischen Gerichtshofes haben.

Ein großes Problem, das lange Verhandlungen erfordert hat, war die Frage, wie es mit der Mitbestimmung der Arbeitnehmer aussehen soll. Wir haben hier bereits in der Vergangenheit erhebliche Schwierigkeiten bei anderen gesellschaftsrechtlichen Rechtsakten gehabt. Ich verweise nur auf die Europäische Aktiengesellschaft und auf die Richtlinie der grenzüberschreitenden Fusion. Ich glaube, es ist uns hier gelungen, durch die Kompromissanträge, die von den drei größten Fraktionen dieses Hauses unterzeichnet wurden, eine echte Lösung zu finden, die an das anknüpft, was bei den bisherigen Rechtsakten in der Europäischen Union gelungen ist, die einen Kompromiss findet zwischen den unterschiedlichen Rechtslagen in den Mitgliedstaaten und die auch einen Beitrag dazu leistet, Arbeitnehmerrechte zu schützen.

Eine letzte Anmerkung möchte ich zur 14. Richtlinie machen, für die ich ja auch Berichterstatter bin. Hier haben wir eine ähnliche Historie wie bei der Europäischen Aktiengesellschaft. Unser Ziel ist es, die Kommission durch diesen legislativen Entschließungsantrag wie bei der EPG zu zwingen, einen konkreten Vorschlag zu machen, und wir erwarten von der Kommission, dass dies auch geschieht, damit eine der letzten Lücken, die es im Gesellschaftsrecht gibt, geschlossen und die Niederlassungsfreiheit der Unternehmen gewährleistet werden kann.   Edit Herczog, előadó. − Elnök Úr! Biztos Úr! Tisztelt kollégáim! Egy hosszú folyamat végéhez közeledünk, egy hosszú és sikeres folyamat az, amivel a kis- és középvállalkozásokat sikerült a perifériáról a központba emelni. Egy hosszú folyamat, amíg eljutottunk odáig, hogy e belső piac ugyan egységes, de nem homogén. Egy hosszú út, amelynek a végére eljutottunk oda, hogy a 23 millió kis- és középvállalkozás a 41 ezer nagy európai céggel azonos adminisztratív terhekkel és szabályokkal működik, miközben a piacokra messze nem tudnak azonos feltételekkel kilépni.

Úgy látjuk, hogy a Verhaugen biztos úr vezette Bizottság nagyon nagy utat tett meg az elmúlt öt év alatt, emiatt üdvözöljük azt a filozófiaváltást, ami végbement az Európai Unióban, amelynek célja, hogy a tagállami és az európai uniós szinten is eltávolítsuk a fekvőrendőröket a kis- és közepes vállalkozások elől. Egy lehetőség, hogy a kis- és középvállalkozások árbevételét növeljük, hogy eljussunk oda, hogy minél többen lépjenek ki közülük az európai belső piacra, hiszen jelenleg csak a vállalkozások 8%-a teszi ezt, és az árbevételüknek csak a 15%-át biztosítják itt. Az árbevételük növekedését teheti lehetővé, hogyha sokkal jobban részt tudnak venni a kutatás-fejlesztés innovációs programokban, projektekben. A kisvállalkozások piaci működését fogja segíteni, hogyha a pénzforrásokat és a finanszírozásukhoz való hozzáférést a mostanihoz képest jelentősen megkönnyítjük. Az árbevételüket növelheti az, hogyha létrehozzuk végre a közösségi szabadalmat, megakadályozva, hogy olcsó hamisítványok szorítsák ki a kisvállalkozások által létrehozott szellemi termékeket.

Mindenképpen azt hiszem, hogy a legérzékenyebb kihívás az egész Lisszaboni Stratégia sikere szempontjából, hogy a kis- és közepes vállalkozásokat hogyan tudjuk saját tagállamukról az EU belső piacára kiléptetni. A mai gazdasági helyzetben azonban az eddig elhangzottakon felül arra is rá kell mutatni, hogy baj van a kis- és középvállalkozások fő finanszírozási forrásával. Ezt továbbra is a hitelek jelentik. A pénzintézetek kockázatérzékenységének növekedése azonban egyre több vállalat számára nehezíti az ezekhez való hozzáférést. A bankok a gazdasági helyzet bizonytalanságára hivatkozva visszatartják a hitelkihelyezést ebben a körben. A kis- és középvállalkozások vezetői arra panaszkodnak, hogy vállalkozások ezrei és munkahelyek tízezrei kerülhetnek veszélybe. Nekünk alapvető érdekünk, hogy a rendszerlikviditást elősegítő pénznek a gazdaságba kell kerülni, nem pedig a bankszéfekben megállnia. Az egyik legfontosabb lépés, hogy a bankok mielőbb megkezdjék a gazdaság és a kis- és középvállalkozások élénkítését.

A másik kihívás az európai szolidaritás megteremtése. Csak ez lehet képes a nemzetállamnál hatékonyabb védelmet nyújtani a válság miatt nehéz helyzetbe került kis- és közepes vállalkozásoknak. Ezzel azt is kívánom mondani, hogy a kisvállalkozások helyzete és annak kezelése az európai szolidaritás próbálja is. Megmutatja, hogy Európa képes kockázatközösséget vállalni az eurózónán kívüli tagállamokkal is. A döntően az euróövezet stabilitását célzó lépések könnyen pénzügyi vákuumot idézhetnek elő – és már idéztek is elő – a nem-eurózónában. A jelen helyzetben tehát arra kell kérnem az európai döntéshozókat és a bankszektor képviselőit, hogy ne hagyják, hogy létrejöjjön a kétsebességes Európa, mert a térség leszakadása, ahol egyébként a kis- és középvállalkozások meghatározóak – a vállalkozásoknak több mint 90%-át teszik ki – katasztrofális gazdasági következményekkel járna. Kérem ehhez a Bizottság és képviselőtársaim támogatást. Köszönöm jelentéstévő társamnak, Nicole Fontainenek és a többi árnyékjelentéstévőnek a munkáját, és még egyszer gratulálok Verhaugen biztos úrnak az eddig megtett úthoz.

  Ján Figeľ, Member of the Commission. − Mr President, first of all I should like to thank the two rapporteurs. Ladies first, and not only these days, I will start by thanking Ms Herczog for the quality of her report on the Small Business Act (SBA) and the strong support it provides for the Commission’s initiative to establish a comprehensive policy on small- and medium-sized enterprises. I would also like to pay tribute to Mr Lehne, not only for his efficiency and work in steering the Private Company Statute through the consultation procedure, but also for the interesting and creative solutions presented in the report.

We are now really in a critical phase. We listen every day to the messages, such as the need to boost and renew confidence in the functioning of the global economy. The financial and economic crisis has hit European businesses really hard, and I believe that it is now more important than ever to exploit to the full the potential of small- and medium-sized enterprises. This is the very lifeline of the European economy.

The Small Business Act, which the Commission adopted in June 2008, provides a comprehensive framework of short-, medium- and long-term actions for SME growth and competitiveness within the Lisbon Strategy. It proposes 10 policy principles and a number of concrete initiatives to make sure that the concerns of SMEs are placed at the centre of decision-making – as Ms Herczog said, mainstreaming SMEs into the centre of attention and strategies.

The SBA includes a set of legislative initiatives, including the proposal for a European private company statute. The SBA is designed to ensure that the ‘think small first’ principle and priority for small businesses are lastingly and irreversibly anchored in policy-making across the Union. The SBA also calls for greater recognition of entrepreneurship and entrepreneurs. We need people who are prepared to take initiatives, draft projects and take risks more than ever at times like this. We also believe, therefore, that honest entrepreneurs who suffer business failure deserve a second chance.

In the current economic crisis, we need to establish priorities and focus on delivering quickly on those actions which have the strongest potential to contribute to recovery. The SBA action plan and the European economic recovery plan propose ambitious measures in three key areas: first, loosening the supply of much-needed credit; secondly, reducing the administrative burden; and, thirdly, helping SMEs do business abroad.

Making a success of the Small Business Act depends on the seamless cooperation of all stakeholders. We are grateful for your support. The resolution that Parliament adopted in early December was a timely and strongly welcomed initiative. As you know, at the summit later in December, the Heads of State and Government unanimously endorsed the Small Business Act, under the French Presidency.

It is, therefore, important that this House gives its full support today to Ms Herczog’s report, to establish a solid and legitimate basis for further action. I would like to invite you to promote the Small Business Act in your respective countries and your constituencies to help make sure that this ambitious policy programme becomes reality and that it really helps SMEs in their daily business.

Let me turn now to Mr Lehne's two reports. Parliament has always been a strong supporter of the European Private Company Statute. Your own-initiative report of 2006 and your swift handling of the Commission’s proposal are important contributions to the success of the new European Company Statute.

The Private Company Statute is a key element of the Small Business Act. It is designed for SMEs. Therefore, the Commission proposed that a European private company may be set up just like any domestic company, without the requirement for doing business in different Member States or having shareholders from more than one country – just like at home. There are those who consider such a cross-border requirement essential for a European company forum. Parliament’s resolution, which allows companies a choice between a variety of cross-border elements, is flexible. European private companies could comply with this requirement, for example by setting up a foreign subsidiary or by simply recording their intention to do cross-border business.

You have also suggested a flexible solution for the minimum capital requirement. As you know, the Commission’s proposal required a minimum capital of just one euro, and beyond that left it to the shareholders to decide on how much capital their European private company needs. This provision has been questioned by those who consider that capital requirements have a role in protecting the creditors of small companies.

The European Parliament report has put forward alternative solutions to improve creditor protection. It means companies would be able to choose between a solvency-based or capital-maintenance-based creditor protection regime.

The Commission agrees with those elements of the report that aim to increase the uniformity of the statute and thus promote the legal certainty of its application. These include prescribing the registration of the company’s business object, clarifying that the ban on offering shares to the public does not preclude offers to the employees of the company, or improving the rules on directors’ duties and liabilities. All of these make a helpful contribution which will facilitate the application of this statute.

I also welcome your useful suggestion of an arbitration clause which encourages the shareholders to use alternative means of dispute resolution.

Finally, I should like to mention the subject that has been the most debated in Parliament and elsewhere, which is workers’ participation on the board of European private companies. As I have already mentioned, the Commission designed a statute for smaller businesses. Employee participation in SMEs exists only in a few Member States, and this is why a solution based on national laws, which would allow for the coexistence of different models, seemed the most appropriate and reasonable approach.

Parliament’s amendments introduce additional and complex provisions that are not applicable to SMEs formed under national law in most Member States. This is likely to make the European Private Company Statute unattractive in those Member States and a much less viable option for SMEs.

To conclude, there are a number of useful solutions in your report. Some of them could very well pave the way for a swifter compromise among the Member States. The Commission, therefore, welcomes the adoption of this report.

Finally, regarding the cross-border transfer of the seat of companies: the Commission has informed Parliament on previous occasions of its reasons for not proposing the 14th Company Law Directive. These reasons are still valid. We agree with the rapporteur that companies should enjoy freedom of establishment within the single market and be able to move their seats from one country to another. However, we are not convinced that proposing new legislation now is the best solution to achieve this objective. Court of Justice case-law clearly allows for company mobility. In addition, existing legislation – the Cross-Border Mergers Directive – provides a framework for the transfer, including the necessary safeguards for third parties. In particular, the Cross-Border Mergers Directive allows a company to set up a new subsidiary in another country and then merge its existing company with that subsidiary. The transfer procedure and safeguards suggested by the Committee on Legal Affairs are very similar to those put forward by the Directive.

Our economic analyses show that the level of complexity of the cross-border transfer procedure would be comparable to that of the cross-border merger procedure. The Cross-Border Mergers Directive was due to be transposed by Member States by December 2007. It is too early to assess its full application. Before embarking on any new legislation, the Commission should first evaluate how this new existing regulatory framework operates in practice. We are also not convinced that the Directive would improve the existing situation under national law and the jurisprudence of the European Court of Justice in this area.

Finally, in the light of the above and with the current legislature about to end, it would be more appropriate for the next Commission to decide on how to proceed on this issue of the transfer of a company's registered office. By then it will also become clearer how the issue of seat transfer was solved in the SPE Statute.

  Gunnar Hökmark, föredragande av yttrande från utskottet för ekonomi och valutafrågor. − Herr talman! Små företags förutsättningar och villkor idag är avgörande för framväxten av morgondagens jobb. Det är helt avgörande för vår möjlighet att komma ut ur krisen in i en bättre och mer kunskapskraftig och konkurrenskraftig ekonomi. Det är de små företagen som driver innovationen framför sig men det är också de små företagen som idag har de största kreditproblemen i de olika medlemsstaterna och i unionen som sådan.

Det vi ska göra här med en europeisk småföretagarstadga – och jag vill tacka kommissionen för förslag och föredraganden för hennes insatser – handlar om att öppna upp den inre marknaden för små företag lika mycket som för de stora företagen. Det är i den delen en ny väg måste brytas. Det handlar, som vi har diskuterat i ekonomiutskottet, om ett omfattande regelförenklingsarbete som öppnar upp dörrar för de små företagen.

Det handlar om att se till att små företag kan vara lika delaktiga i offentlig upphandling som stora företag, genom det sätt som den offentliga upphandlingen utförs på. Det handlar om att det ska vara lättare för små företag att agera över gränserna även när det gäller frågor som att betala momsen och att vi kan bekämpa den byråkrati som är hindrande idag. Det handlar också om att de europeiska finansmarknaderna genom de insatser som Europeiska investeringsbanken och andra kan utföra får bättre förutsättningar för expansion och framväxt, genom att vi får en bättre kreditmarknad för små företag. Får jag till slut säga:

Small is beautiful. Small will be bigger tomorrow and give new jobs and more prosperity.

  Harald Ettl, Verfasser der Stellungnahme des mitberatenden Ausschusses für Wirtschaft und Währung. − Danke schön, Frau Präsidentin! Derzeit ist die Verlegung des Sitzes von Unternehmen mit administrativen Hürden, Kosten und sozialen Folgewirkungen verbunden und bietet weder Anteilseignern noch Gläubigern noch Arbeitnehmern die notwendige Rechtssicherheit. Schon 2004 wurde im Rahmen einer öffentlichen Konsultation deutlich gemacht, wie wichtig eine 14. Richtlinie wäre.

Aus diesem Grund möchte ich die Kommission auffordern, hierzu einen Legislativvorschlag zu unterbreiten – as soon as possible –, um einerseits die Mobilität von Unternehmen zu vereinfachen und andererseits die Frage der Mitbestimmung bei der Sitzverlegung nicht dem Europäischen Gerichtshof zu überlassen.

Eine künftige 14. Richtlinie darf keine Flucht aus starken Mitbestimmungssystemen ermöglichen. Bereits bestehende Rechte dürfen auf keinen Fall eingeschränkt werden. Um die Kohärenz und Substanz der Verfahren der Arbeitnehmerbeteiligung zu gewährleisten, sollte auf die Europäische Richtlinie über Betriebsräte, die 10. Richtlinie und die Richtlinie über Unterrichtung und Anhörung Bezug genommen werden. Zeitgerechte Information und eine Sitzverlegung erst nach Erstellung eines Verlegungsplanes sind absolut notwendig.

  Donata Gottardi, relatrice per parere della commissione per i problemi economici e monetari. − Signor Presidente, commissario, onorevoli colleghi, il regolamento di società privata europea che stiamo per approvare completa il quadro delle tipologie societarie che assumono disciplina europea. Nel testo finale si sente, in alcune parti, l'impronta che ha lasciato il testo votato in commissione economica.

Resta il rimpianto per non aver colto l'occasione per chiedere alla Commissione di osare di più, di procedere ulteriormente al fine di arrivare a prevedere un regime di tassazione specifica, un apposito sistema contabile, regole omogenee in caso di liquidazione, insolvenza, trasformazione, fusione, scissione, scioglimento e nullità.

Troppi sono ancora gli ambiti che rimangono al diritto societario nazionale con sovrapposizione di livelli e moltiplicazione di costi. Se si condivide l'importanza di creare un regime comune europeo e se si vogliono evitare dislocazioni territoriali opportunistiche, ebbene, ora che si è completato il quadro, dopo la società europea e la società cooperativa europea, sarà utile progettare di riaprirlo per portarlo a un livello più avanzato.

  Harald Ettl, Verfasser der Stellungnahme des mitberatenden Ausschusses für Beschäftigung und soziale Angelegenheiten. − Herr Präsident! Für die europäische Privatgesellschaft wurde im Rahmen des Small Business Act ein Kommissionsvorschlag präsentiert, der gravierende Schwachstellen aufweist. Den Interessen von Gläubigern wie Arbeitnehmern und Konsumenten oder kleinen Zulieferern wurde im Kommissionsvorschlag kaum Beachtung geschenkt. Um einige dieser Bestimmungen zu nennen: Vorgesehen war ein Mindestkapital von einem Euro, hinzukommen unzureichende Registrierungsverfahren, keine Vorschreibung einer grenzüberschreitenden Tätigkeit sowie die Trennung von Satzung, Sitz und Ort der tatsächlichen Geschäftsausübung.

Letzteres hätte zu einer Umgehung der Arbeitnehmermitbestimmung geführt. Jede neue Richtlinie im europäischen Gesellschaftsrecht sollte dazu beitragen, das Harmonisierungsziel der Arbeitnehmerrechte und die Idee des europäischen Mitbestimmungsstandards, basierend auf dem neuen EU-Reformvertrag, inklusive der Grundrechte-Charta zu erreichen. Arbeitnehmerrechte sind Kernrechte für ein soziales Europa.

  Anja Weisgerber, Verfasserin der Stellungnahme des mitberatenden Ausschusses für Beschäftigung und soziale Angelegenheiten. − Herr Präsident, Herr Kommissar, liebe Kolleginnen und Kollegen! Kleine und mittlere Unternehmen sind das Rückgrat unserer Gesellschaft und stellen 67% der Arbeitsplätze in der europäischen Privatwirtschaft.

Ich begrüße daher die Initiative "Vorfahrt für den Mittelstand" sehr und setze mich dafür ein, dass dieses Prinzip auf allen politischen und verwaltungstechnischen Entscheidungsebenen berücksichtigt wird. Gerade in der derzeitigen Finanzkrise müssen wir einen echten, greifbaren Mehrwert für kleine und mittlere Betriebe schaffen, um den Mittelstand als stabilisierenden Faktor in der Krise zu stärken.

Ich habe mich im Sozialausschuss als Verfasserin der Stellungnahme an der Ausarbeitung der Ideen, die nun zur Abstimmung vorliegen, beteiligt. Zahlreiche meiner Vorschläge finden sich nun im Text wieder, u.a. die Bedeutung des Flexicurity-Grundsatzes. Mit diesem Konzept sollen auf der einen Seite flexible Arbeitsmärkte entstehen, die auf der anderen Seite mit einem hohen Grad an Beschäftigungssicherheit in Einklang gebracht werden.

Auch hat meine Forderung Eingang gefunden, dass das Arbeitsrecht eine zuverlässige Grundlage für KMU bieten muss. Kleine und mittlere Unternehmen können sich oft keine eigene Rechts- oder Personalabteilung leisten und sind daher auf einfache und klare Regelungen angewiesen.

Eine meiner wichtigsten Forderungen – der KMU-Test für Gesetzesvorhaben – wurde ebenfalls vom federführenden Ausschuss unterstützt. Wir müssen Bürokratie verhindern, bevor sie entsteht. Für neue Gesetze ist konsequent eine Folgenabschätzung durchzuführen. Jede EU-Regelung muss vor ihrer Verabschiedung auf ihre Auswirkungen auf die kleinen und mittleren Unternehmen geprüft werden. Mir war es wichtig, dass die Ergebnisse dieses KMU-Tests einer unabhängigen Bewertung durch eine unabhängige Stelle unterzogen werden, und diese Idee fand Eingang in den Text.

Gerade vor dem Hintergrund der globalen Finanzkrise stehen die KMU derzeit vor besonderen Herausforderungen. Ich begrüße deshalb insbesondere die Aufforderung im Bericht, die Vorschläge der Hochrangigen Gruppe von Herrn Stoiber zur Verringerung der Bürokratiekosten wirklich auch schnellstmöglichst umzusetzen. Wir müssen jetzt schnell handeln, um dieses Potenzial zu nutzen.

  Othmar Karas, Verfasser der Stellungnahme des mitberatenden Rechtsausschusses. − Herr Präsident! Wir wissen alle, dass der Wohlstand der Europäischen Union entscheidend davon abhängt, ob wir imstande sind, das Wachstums- und Innovationspotenzial kleiner und mittelständischer Unternehmen zu nutzen. Auch bei der Bewältigung der Krise spielen die kleinen und mittelständischen Unternehmen die entscheidende Rolle. Wir müssen sie deshalb entlasten und unterstützen nach dem Motto: Weniger Regeln kann für die KMU viel mehr bedeuten.

Als Präsident der SME-Intergroup sage ich aber auch ganz deutlich, dass der Small Business Act nur eine Absichtserklärung der Staats- und Regierungschefs ist. Den KMU ist mit Absichtserklärungen allein nicht geholfen, und daher fordern wir sehr klar, dass das Prinzip "Vorrang für KMU" die nationale und die europäische Gesetzgebung bestimmt, und wir haben vier Punkte verlangt.

Erstens: Die Mitgliedstaaten müssen mitteilen, wie und in welchem Zeitraum sie die Grundsätze des Prinzips "Vorrang für KMU"in die nationalen Regelungsrahmen überführen. Zweitens: Die Mitgliedstaaten sollen die Fortschritte bei der Umsetzung des Prinzips "Vorrang für KMU" verpflichtend in den jährlichen Berichten über die nationalen Reformprogramme zum Lissabon-Prozess vorstellen. Drittens: Wir brauchen einheitliche Kriterien, wie die Fortschritte bei der Umsetzung des Prinzips "Vorrang für KMU" gemessen werden können. Und viertens: Wir müssen das Prinzip "Vorrang für KMU" als verbindlichen Bestandteil künftiger Gesetzgebung auch auf europäischer Ebene durchsetzen. Und aus aktuellem Anlass sage ich, dass wir alle bestehenden Regelungen auf ihre prozyklischen Auswirkungen auf KMU überprüfen sollten. Hier muss rasch gehandelt werden.

  Nicole Fontaine, au nom du groupe PPE-DE. – Monsieur le Président, mes chers collègues, tout d'abord je voudrais saluer la signification de ce débat joint à l'intention des PME et j'espère de tout cœur que les PME entendront le signal fort que notre Parlement souhaite ainsi leur adresser.

Notre groupe a accueilli avec enthousiasme le projet de Small Business Act qui nous a été présenté par la Commission en juin dernier. Certes, dans les années 2000, des initiatives avaient été prises en direction des PME. Ces initiatives étaient appréciées mais insuffisantes. Insuffisantes, pourquoi? Parce que restées trop souvent, de l'avis même des intéressés, des vœux pieux. Aussi, aujourd'hui, nous devons aller plus loin et le Small Business Act nous en donne l'occasion puisqu'il s'inscrit dans une démarche globale, résolument volontariste.

D'ores et déjà, je tiens à le rappeler, le Parlement européen a remporté un succès, puisque c'est à la suite de la question orale que nous avions posée en décembre dernier que le Conseil "Compétitivité" a adopté, à l'unanimité, le plan d'action que M. le Commissaire Figel' a évoqué tout à l'heure.

Ceci marquait bien évidemment une volonté politique forte des gouvernements et, aujourd'hui, je voudrais saluer l'excellent rapport d'Edit Herczog qui prolonge si opportunément cette impulsion. Je voudrais aussi la remercier de la qualité de la coopération que nous avons eue, de l'excellent travail que, je dois le dire, nous avons fait au sein de la commission ITRE puisque, aujourd'hui, nous n'avons que deux amendements déposés en plénière. Ceci montre bien que nous avons bien travaillé.

En ce qui concerne notre groupe, à travers les amendements que nous avions déposés et que notre rapporteure a bien voulu accepter, nous nous sommes employés à rechercher le moyen d'impliquer plus fortement les États membres et les instances communautaires afin de garantir que les PME tireront véritablement une valeur ajoutée des mesures préconisées.

Nous avons demandé que le principe Think Small First soit une partie intégrante obligatoire de toute future législation. Nous avons insisté sur le brevet communautaire et également, bien sûr, sur les moyens de financement afin que ces moyens leur permettent d'avoir effectivement et rapidement accès.

  Ieke van den Burg, on behalf of the PSE Group. – Mr President, perhaps you will allow me, firstly, to say something in reaction to the Commission’s statement.

Firstly, I regret that the Commissioner's colleague, Mr McCreevy, is not here – I think the horse racing season may have started again! I really regret it because the subject of company law is really important for us and is at the heart of his portfolio. Secondly, Commissioner, I really regret your arguments against Parliament’s proposals on the co-determination of employees. We clearly stated that this is not meant for small companies, but that the SPE Statute is available for all companies. It is not restricted to size. We do not want this SPE Statute to be a way of abusing and circumventing existing legislation – particularly in national traditions – something which is a very important aspect of co-determination. We do not want ‘shopping around’ to exist and a new Delaware to be created in the European Union, where companies can circumvent this type of legislation.

Thirdly, regarding the fourteenth directive – which we know Mr McCreevy is not very much in favour of – you repeated the same arguments he put forward. He should take seriously the fact that Parliament really wants him to present this proposal.

Fourthly, we tabled a resolution together to ask the Commission to consult the social partners on the basis of Article 138. This would have been proper before we decided on a regulation concerning the SPE, because co-determination is an issue which is dealt with under Article 138 of the EC Treaty and which first requires a consultation of social partners. This has not been done. We now ask for it to be done immediately afterwards. However, if I hear this type of reaction from the Commission, I will seriously reconsider and suggest to my group that we reconsider whether we can support the SPE product. Perhaps you should make some phone calls tonight to Mr McCreevy and Mr Špidla and see whether tomorrow you can present a better proposal on this before the vote.

Briefly – because I am now using up my speaking time – the PSE’s position is not against the chance for small and medium-sized enterprises to get this new statute – we are in favour of that – but it is against this form of abuse. We found a very good compromise with the rapporteur. It is also very up-to-date and is not at all obsolete, but very topical at this time, considering the disastrous workings of shareholders and financial markets, to consider a better way of governance for companies, in which employees have a part. Commissioner, you really have to consider with your College and with the Commissioners in charge whether you can make a more positive statement to the Parliament.

  Jean Marie Beaupuy, au nom du groupe ALDE. – Monsieur le Président, Monsieur le Commissaire, je voudrais bien sûr, moi aussi, me joindre aux compliments à notre collègue, Mme Herczog, pour l'excellent rapport en 90 points concernant le Small Business Act.

Mais le travail du Parlement européen ne trouvera, Monsieur le Commissaire, véritablement son efficacité qu'avec une mise en œuvre rapide et efficace dans chacun de nos États.

Vous avez dit, Monsieur le Commissaire, en commençant, que, en vous appuyant sur ce rapport, vous alliez élaborer une stratégie globale, mais vous n'ignorez pas qu'il y a actuellement une crise financière, une crise économique, une crise climatique qui nous imposent des réponses rapides.

Je prendrai donc deux exemples. Premier exemple: je demande à ce que les délais des règlements en faveur des entreprises soient rapportés à 30 jours. Cela est indiqué au point 87 pour le fonds de cohésion. Je demande à ce que la Commission et les États membres prennent des dispositions pour que tous les marchés publics puissent régler les entreprises à 30 jours.

Lorsque l'on sait, d'ailleurs, que 20 % des dépôts de bilan sont dus à des retards de paiement des collectivités publiques, nous mesurons là combien cette action des gouvernements et de la Commission permettra de réduire le nombre de chômeurs qui actuellement s'accroît de jour en jour.

Deuxième exemple: les formalités administratives. Au point 72, nous demandons de réduire d'au moins 25 % les formalités administratives actuelles. Je puis vous dire, moi, en tant que chef d'entreprise, qu'il s'agit là d'une disposition concrète que nous attendons depuis des années. Les chefs d'entreprise ne sont pas faits pour remplir des papiers à longueur de journée, ils sont faits pour apporter des produits et des services à nos concitoyens.

Si vous entendez cet appel, Monsieur le Commissaire, non seulement au-delà de la stratégie globale que vous voulez élaborer, mais en termes de réponse concrète des gouvernements et de la Commission, alors, dans le cadre des plans de relance actuels, il y aura des dispositifs qui apporteront des solutions à nos concitoyens, dès maintenant.

  Zbigniew Krzysztof Kuźmiuk, w imieniu grupy UEN. – Panie Przewodniczący! Zabierając głos w tej debacie chcę zwrócić uwagę na cztery kwestie. Po pierwsze chciałbym wyrazić nadzieję, że sprawozdanie pana posła Lehne będzie silnym bodźcem dla Komisji Europejskiej dla przygotowania odpowiednich rozwiązań prawnych, które zgodnie z zagwarantowaną w traktacie Wspólnot Europejskich swobodą przedsiębiorczości pozwolą na przenoszenie bez zbędnej biurokracji siedzib spółek na terenie Unii Europejskiej.

Po drugie takie przeniesienia powinny umożliwiać jednak ochronę istniejących praw udziałowców, wierzycieli, a przede wszystkim praw pracowniczych. Chciałbym również wyrazić nadzieję, że proponowane przez sprawozdawcę rozwiązania polegające na sporządzaniu planu przeniesienia, a w szczególności sprawozdania wyjaśniającego prawne, a zwłaszcza gospodarcze aspekty i skutki przeniesienia dla udziałowców i pracowników, nie będą dodatkową przeszkodą w przenoszeniu spółek.

Wreszcie po czwarte, jak się wydaje, szczególnym bodźcem do zaproponowania takich rozwiązań było dostrzeżenie pozytywnego wpływu konkurencji podatkowej, a także i płacowej, na przyśpieszenie wzrostu gospodarczego w poszczególnych krajach członkowskich, a w konsekwencji także na terenie Unii Europejskiej.

  Francis Wurtz, au nom du groupe GUE/NGL. – Monsieur le Président, Monsieur le Commissaire, le projet de statut de la société privée européenne est présenté par la Commission comme un élément de la loi sur les petites entreprises pour l'Europe.

Dans ce cadre, il était question au départ, à l'instar de ce qui se fait aux États-Unis, de réserver aux petites entreprises une part donnée des marchés publics. On ne pouvait qu'applaudir à d'aussi nobles desseins.

Malheureusement, il s'agit, à l'arrivée, avec la SPE, de tout autre chose. D'abord, en ce qui concerne la taille des entreprises visées. De la petite entreprise, on a glissé au concept déjà beaucoup plus flou de petites et moyennes entreprises, pour finalement aboutir – je cite l'exposé des motifs du projet de règlement adopté par la Commission – à un "statut pouvant également profiter à des sociétés et à des groupes de plus grande dimension". Cela change complètement la philosophie de la démarche, et dès lors, qu'en sera-t-il des fausses PME? En réalité, filiales de multinationales qui, on le sait, réclament depuis longtemps un statut unique moins contraignant que ceux dont elles disposent aujourd'hui pour les entreprises qu'elles contrôlent dans différents pays européens.

Voyons à présent la nature des avantages offerts aux entreprises bénéficiant du statut de SPE. Il n'est plus question de faciliter l'accès aux commandes publiques, mais – je cite encore l'exposé des motifs du texte de la Commission – "d'améliorer les conditions-cadres pour les entreprises dans le marché unique". À cette fin, toutes les sociétés privées européennes pourraient avoir leur siège dans un pays et leurs activités réelles dans un autre. Elles pourraient également transférer leur siège dans un État membre de leur choix.

Comment ne pas voir dans ces dispositions un moyen visant à permettre aux entreprises concernées de créer, sans autre contrainte, des sociétés boîte aux lettres sous les cieux les plus cléments pour les milieux d'affaires? La Commission ne précise-t-elle pas que la loi applicable est celle de l'État membre du siège statutaire de la SPE relative aux sociétés à responsabilité limitée?

Comme le note très justement la Confédération européenne des syndicats, le risque est grand que les entreprises utilisent les statuts de la SPE pour se soustraire aux législations les plus protectrices pour les travailleurs.

On comprend mieux pourquoi la Commission n'a pas consulté les organisations syndicales avant d'adopter son projet, se contentant d'une consultation en ligne, de pure forme.

En résumé, il apparaît à la lecture du projet de règlement que l'insistance mise sur les petites entreprises relève avant tout de l'habillage politique pour rendre présentable une nouvelle mouture du tristement fameux principe du pays d'origine. C'est du Bolkestein relooké.

Voilà pourquoi mon groupe propose que le Parlement adresse un signal clair à la Commission et au Conseil, en rejetant ce projet de statut de la société privée européenne.

  Roberto Fiore (NI). - Signor Presidente, onorevoli colleghi, io penso che dobbiamo risolvere in modo autenticamente europeo questa crisi delle piccole imprese. Noi stiamo assistendo a una moria di piccole e medie imprese in tutto il continente e questa moria è dovuta alla mancanza di accesso al credito. Il problema è che le banche non danno nessun credito al business ed è anche vero che i tentativi di alcuni governi di finanziare le banche perché poi esse, a loro volta, finanzino i piccoli business, si sta rivelando un fallimento perché nessuno sa quali debiti stiano effettivamente in questo momento colpendo le banche.

Quindi io propongo che gli Stati nazionali, attraverso la nazionalizzazione della loro banca nazionale, si facciano promotori di una stampa di denaro, o di voucher corrispondenti al denaro, per finanziare appunto le piccole imprese. Questo tipo di tentativo è stato fatto negli ultimi tempi dalla Repubblica di Taiwan, che ha emesso voucher, che praticamente corrispondono al denaro, e li ha dati, nella forma appunto di voucher a persona, a cittadino, nella Repubblica di Taiwan. Questo ha consentito praticamente di emettere 3 miliardi di dollari o di euro nella Repubblica di Taiwan.

Noi dobbiamo fare la stessa cosa: dobbiamo dare credito alle piccole imprese praticamente emettendo denaro come Stati non più a debito ma a credito.

  Γεώργιος Παπαστάμκος (PPE-DE). - Κύριε Πρόεδρε, θα εστιάσω την παρέμβασή μου στο πρώτο από τα συζητούμενα θέματα, δηλαδή στο καταστατικό για την ευρωπαϊκή ιδιωτική εταιρία. Ως γνωστόν, μόλις το 8% των ευρωπαϊκών μικρομεσαίων επιχειρήσεων πραγματοποιεί διασυνοριακές συναλλαγές τη στιγμή κατά την οποία οι μικρομεσαίες επιχειρήσεις αντιπροσωπεύουν περίπου το 99% των εταιριών στην Ένωση.

Το γεγονός αυτό αποδεικνύει το έλλειμμα της έως σήμερα ασκούμενης πολιτικής για την ενθάρρυνση του ενδοκοινοτικού επιχειρείν. Καταδεικνύει επίσης την ανάγκη υιοθέτησης στοχευμένων μέτρων για τη δημιουργία ενιαίου και ευνοϊκότερου ρυθμιστικού πλαισίου σε ευρωπαϊκό επίπεδο.

Η παγκόσμια οικονομική κρίση πλήττει σήμερα την πραγματική οικονομία, τα εκατομμύρια μικρομεσαίες επιχειρήσεις σε όλη την Ευρώπη. Υπό την παρούσα συγκυρία, κεντρικός μας στόχος πρέπει να είναι μικρές επιχειρήσεις, αποτελεσματικές επιχειρήσεις.

Η πρόταση κανονισμού της Επιτροπής προς το Συμβούλιο κινείται προς τη σωστή κατεύθυνση, και αυτή κατά τη γνώμη μου είναι η κατά το δυνατόν μείωση του διοικητικού άχθους που αντιμετωπίζουν οι ευρωπαϊκές μικρομεσαίες επιχειρήσεις, όταν καλούνται να ανταποκριθούν στις κατά τόπους διαφοροποιημένες διοικητικές απαιτήσεις για τη σύσταση μιας εταιρίας.

Η ευελιξία και η ομοιομορφία της ευρωπαϊκής ιδιωτικής εταιρίας, η κατά το ελάχιστον απαίτηση του στοιχείου της διασυνοριακής αναφοράς, η απλοποίηση του ελέγχου νομιμότητας του καταστατικού και η αρχή του κεφαλαίου σύστασης του ενός ευρώ συνιστούν τους άξονες μιας στρατηγικής η οποία μπορεί βασίμως να δώσει νέα ώθηση στην ανάπτυξη ενδοκοινοτικής επιχειρηματικότητας.

Τελειώνοντας, θα ήθελα να συγχαρώ το συντάκτη της έκθεσης, κύριο Lehne, για τις προσπάθειες που κατέβαλε προκειμένου να συγκεράσει επιτυχώς τις αποκλίνουσες απόψεις που διατυπώθηκαν από τους συναδέλφους της Επιτροπής Νομικών Θεμάτων και τις διάφορες πολιτικές ομάδες.

  Manuel Medina Ortega (PSE). - Señor Presidente, creo que el debate que tenemos esta noche sirve para aclarar algunas cosas: en primer lugar, que el hecho de que el debate sobre la sociedad privada europea se haga simultáneamente con el debate sobre la pequeña empresa europea no quiere decir que la sociedad privada europea sea necesariamente pequeña empresa europea.

Como ha dicho la señora van den Burg y creo que también lo ha puesto de relieve el señor Wurtz en su crítica a la propuesta, el estatuto de la sociedad privada europea, tal como está concebido en la propuesta de la Comisión y tal como ha sido aprobado en el seno de la Comisión de Asuntos Jurídicos, es un instrumento para el establecimiento de empresas que pueden ser grandes y que tienen ciertas características, como es la limitación de la responsabilidad de los socios y la imposibilidad de que se negocien en los mercados públicos. Pero tanto el estatuto de la sociedad privada europea como el de la sociedad privada nacional pueden servir para pequeñas empresas y para grandes empresas.

Ahora bien, como ha dicho la señora van den Burg, precisamente esta flexibilidad o plasticidad de la sociedad privada europea nos obliga a tener cuidado extremo. Y ese ha sido el trabajo de la Comisión de Asuntos Jurídicos. Las enmiendas aprobadas por la Comisión de Asuntos Jurídicos, bastantes, van dirigidas, precisamente, a evitar que surja, como decía la señora van den Burg, un Delaware europeo, sobre la base de la fórmula de la sociedad privada europea, sobre todo en uno de los temas que preocupaban al señor Wurtz, esto es, la participación de los trabajadores en la empresa.

Creo que las fórmulas aprobadas en la Comisión de Asuntos Jurídicos señalan con claridad esas limitaciones. No se trata, como decía el señor Wurtz, de aplicar la regla del país de origen, sino, que, de acuerdo con las normas que hemos aprobado en la Comisión de Asuntos Jurídicos —yo le recomendaría al señor Wurtz que leyera las enmiendas que hemos aprobado—, hay una serie de limitaciones que impiden que las normas del país de origen se apliquen a aquellas sociedades en las que hay un nivel de participación de los trabajadores más alto de lo normal. Están perfectamente incluidas en las enmiendas que hemos aprobado y creo que con estas enmiendas sería perfectamente admisible aprobar el texto, incluso desde la posición del señor Wurtz.

Es decir, se trata de una forma de sociedad europea que existe en todos nuestros países, que tiene que ser objeto de armonización en el contexto de la Unión Europea, pero, al hacerlo, esas sociedades no pueden convertirse en entes etéreos, sino que tienen que apegarse a las realidades nacionales y respetar la legislación nacional, sobre todo en el ámbito tan delicado de la cogestión de los trabajadores.

Creo que la Comisión de Asuntos Jurídicos, en el texto que ha aprobado, introduce aportaciones fundamentales y, desde luego, haría mal la Comisión en no tomar en cuenta estas enmiendas.

Creo que las enmiendas de la Comisión de Asuntos Jurídicos van dirigidas, precisamente, a limitar los defectos que tenía el texto de la Comisión y creo que el Parlamento podría aprobarlo con buena conciencia, no solo por lo que supone de progreso en el ámbito de las pequeñas empresas, sino también en cuanto a la gestión de este tipo de sociedades que existen en Derecho y que estarían sometidas a un control estricto por parte de los trabajadores en un sistema de cogestión.

  Jorgo Chatzimarkakis (ALDE). - Frau Präsidentin, Herr Kommissar! Nie war der Mittelstand so wichtig wie heute. Anlässlich der Wirtschafts- und Finanzkrise, die von den Großen und nicht von den Kleinen verursacht wurde, kommt es jetzt vor allem auf den Mittelstand an. Es kommt auf die kleinen und mittleren Unternehmen an, weil sie auch bald leiden werden. Sie tragen jedoch einen Großteil der wirtschaftlichen Leistung.

In dem Land, das ich am besten kenne, steht der Mittelstand für 20% aller Patente, für 40% aller Bruttoinvestitionen, für 49% aller Umsätze, für 70% aller Arbeitnehmer und für 80% aller Auszubildenden. Wir brauchen jetzt ein Umdenken. Wir müssen sozusagen auf den großen Reset-Knopf drücken. Wir müssen unternehmerische Mentalität fördern und hierfür steht der Small Business Act.

Ich möchte der Kollegin Herzog zu ihrem Bericht gratulieren. Es kommt jetzt tatsächlich darauf an, dass wir den Mittelstand als Querschnitt bezeichnen und betrachten, dass wir die Fördermaßnahmen umdenken, dass wir bei öffentlichen Ausschreibungen die Kleinen ("think small first") nach vorne rücken und nicht die öffentliche Hand in den Wettbewerb eingreifen lassen. Deswegen Glückwunsch an Sie: Steuersenkung für arbeitsintensive Branchen, das muss jetzt kommen.

  Eoin Ryan (UEN). - Madam President, I too would like to welcome this report. About 80% of all new jobs in the European Union have been created by SMEs, and in my own constituency of Dublin about 400 000 people are employed by about 100 000 companies in the SME sector.

We must do all we possibly can at the moment to support these companies in difficult times. I welcome the fact that the EIB has a fund of 31 billion euros for small- and medium-sized industries, and I think that more should be done in this area.

Also, the cutting of red tape and bureaucracy by the Commission has to be welcomed. That amounts to savings for the European Union of about EUR 2.3 million. I had a meeting recently with Commissioner Verheugen where we discussed with Irish business people the problems that they faced. One idea that should be looked at is that of maybe having a moratorium on new red tape coming from Europe, because that is stifling business. During these difficult times, we have to do everything we possibly can to make sure that businesses survive until the hoped-for upturn.

However, that cannot be done by Europe alone. It must also be done by national governments and by local governments, which have a huge role to play. If we want to get our small businesses and employment to stabilise in the European Union and in each individual Member State, we must do everything we possibly can to try and save them.

The challenge that we have at the moment is about jobs, jobs, jobs, and we must bend over backwards to try and protect existing employment and, hopefully, in the years ahead try and create new jobs. That is absolutely essential for all of us.

  Γεώργιος Τούσσας (GUE/NGL). - Κυρία Πρόεδρε, η ευρωπαϊκή ιδιωτική εταιρία αποτελεί προσπάθεια να πληγούν ακόμη περισσότερο τα κοινωνικά και εργασιακά δικαιώματα των εργαζομένων στα πρότυπα της οδηγίας Bolkestein. Ενώ προβάλλετε το πρόσχημα ότι με την εταιρία αυτή θα ωφεληθούν οι μικρομεσαίες επιχειρήσεις, στην πραγματικότητα ενισχύετε τους μονοπωλιακούς επιχειρηματικούς ομίλους.

Δημιουργείτε μία μορφή εταιρίας χωρίς κανένα κεφάλαιο (αρκεί ακόμη και ένα ευρώ), η οποία θα μπορεί να ιδρύει εικονική έδρα και να τη μεταφέρει οποτεδήποτε. Θα χρησιμοποιούνται τα κράτη μέλη με το χαμηλότερο επίπεδο προστασίας των μισθολογικών και κοινωνικών δικαιωμάτων, ώστε να καταστρατηγούνται και να οδηγούνται στο κατώτατο δυνατό επίπεδο κατακτήσεις και δικαιώματα των εργαζομένων.

Ο κανονισμός, άμεσα εφαρμοστέος στα κράτη μέλη, αποτελεί φυσικό συμπλήρωμα της οδηγίας Bolkestein και των γνωστών αντεργατικών αποφάσεων του ΔΕΚ στις υποθέσεις Viking, Laval, Ruffert. Είναι συνέπεια και αποτέλεσμα της Συνθήκης του Μάαστριχτ και της εφαρμογής των τεσσάρων ελευθεριών. Η ευρωπαϊκή ιδιωτική εταιρία εκθέτει τις πολιτικές δυνάμεις που ψήφισαν το Μάαστριχτ, που προσπάθησαν να εξαπατήσουν τους εργαζόμενους όταν ψήφιζαν την οδηγία Bolkestein, λέγοντας ψέματα ότι δήθεν δεν θίγει τα δικαιώματα των εργαζομένων.

Γι’ αυτούς τους λόγους θα καταψηφίσουμε το σχετικό κανονισμό. Όσοι στηρίζουν αυτή την αντιλαϊκή πολιτική σπέρνοντας ανέμους, να είναι σίγουροι ότι θα θερίσουν θύελλες.

  Jim Allister (NI). - Madam President, the fact that 70% of private employment in Europe is provided by SMEs is a tremendous tribute to their entrepreneurial tenacity, because oppressive EU regulation makes their lives unnecessarily and extremely difficult.

Hence, I would repeat a call I have made before that during the currency of this economic downturn, there should be a regulation holiday for SMEs. The cost of EU regulation in the United Kingdom has been reckoned to be GBP 107 billion over the last ten years. That is GBP 107 billion that should have been going into innovation, into intensified export efforts and into growth. Yet much of that has had to be spent on mere compliance with regulation. The simplification of procurement procedures, reducing patent costs, relaxation on state aid rules and real action against unfair competition from the Far East are all essential if SMEs are to flourish.

Today we need family SMEs – small businesses – more than ever because they have the type of commitment and sticking power to get us through this crisis. However, they need our help and they need it by lifting the dead hand of EU regulation from them.

  Kurt Lechner (PPE-DE). - Frau Präsidentin, liebe Kolleginnen und Kollegen! Es wurde hier mehrfach das Thema Mitbestimmung angesprochen. Ich möchte das jetzt nicht vertiefen, ich will aber in diesem Zusammenhang doch darauf hinweisen, dass das Gesellschaftsrecht unserer Mitgliedstaaten auch eine Funktion im Sinne der Wahrnehmung der Interessen der öffentlichen Ordnung, wie z.B. Schutz der Gläubiger, Sicherheit der Rechtsordnung, Verbraucherschutz und anderes mehr, hat, die in den Mitgliedstaaten im Sinne einer vorsorgenden Rechtspflege, z.B. durch Register- und Formvorschriften, gewahrt wird. Hier gibt es erhebliche Unterschiede zwischen den Mitgliedstaaten.

Die Beschlussfassung des Rechtsausschusses beachtet dies an vielen Stellen – das ist sehr zu begrüßen –, indem sie Optionen für die Mitgliedstaaten offen hält. Aber im Ergebnis werden diese Dinge konterkariert, sie können jedenfalls konterkariert werden, wenn es dabei bleibt, dass der eingetragene Sitz und der tatsächliche Sitz, d.h. dort, wo die Gesellschaft tatsächlich tätig ist, voneinander abweichen dürfen, weil dann diese Sicherungen im Ergebnis ins Leere laufen. Die Gesellschaft kann sich praktisch ihren eingetragenen Sitz aussuchen, wo sie will, und sich den Anforderungen des Landes, wo sie tatsächlich tätig ist, dadurch entziehen. Damit verlieren aber meines Erachtens die Mitgliedstaaten de facto – nicht de jure, aber de facto – einen großen Teil der Souveränität über ihr Gesellschaftsrecht und dessen Ordnungsfunktion, weil es ausgehebelt werden kann.

Ich möchte auch hinzufügen, dass – es muss nicht sein, aber es kann sein – dadurch auch die Seriosität der Europäischen Privatgesellschaft gefährdet ist, jedenfalls in den Mitgliedstaaten, in denen ansonsten strengere Anforderungen vorgesehen sind. Nun könnte man sagen, dann lasst uns abwarten, wie das ausgeht, und dann korrigieren wir das. Dem wäre dann zuzustimmen, wenn nicht wegen der Einstimmigkeit und aufgrund der Verfahren diese Entwicklung zementiert würde. Das ist meine größte Sorge. Es gibt für diesen Vorgang auch keinen Grund. Die Rechtsprechung des Europäischen Gerichtshofs ist nur ein Notbehelf, weil wir keine Richtlinie über die Verlegung von Sitzen haben, aber durch diese Europäische Privatgesellschaft, wie sie jetzt vorgesehen ist, würde dieses Auseinanderfallen im Grunde zementiert, und zwar für alle Zeiten als europäisches Gemeinschaftsrecht. Deshalb möchte ich den Rat bitten, sich diese Frage noch einmal sehr genau zu überlegen.

  Juan Fraile Cantón (PSE). - Señora Presidenta, las pequeñas y medianas empresas son la columna vertebral de la economía de la Unión Europea. Su gran dinamismo y su capacidad para crecer e innovar les han hecho merecedoras de ocupar un lugar destacado en la política de la Unión.

Felicitamos a la señora Herczog, ya que su informe anima al crecimiento de las PYME sobre la base de un principio nada baladí: en las acciones políticas y económicas de la Unión y sus Estados miembros hay que pensar primero a pequeña escala.

El Small Business Act contiene propuestas legislativas y compromisos políticos que van a generar condiciones administrativas, reglamentarias y financieras capaces de desarrollar estas unidades de la economía europea. La crisis actual y la inestabilidad del sistema financiero están limitando el acceso de las PYME al crédito, lo que está entorpeciendo su actividad económica habitual. Hoy, más que nunca, es necesaria una respuesta coordinada a nivel europeo y las iniciativas de los Estados deben articularse e integrarse en las estipulaciones del documento del que estamos hoy hablando.

Concluyo afirmando que es especialmente relevante dedicar 30 000 millones de euros en el período 2009-2011 a facilitar créditos a las PYME. Esta iniciativa se une al Programa Marco para la Competitividad y la Innovación y a la iniciativa Jeremie y va a producir un efecto multiplicador en los fondos que van a llegar a las PYME.

Estamos plenamente convencidos de que la coordinación y el alcance europeo de la respuesta son imprescindibles para iniciar cuanto antes el camino de la recuperación económica.

  Patrizia Toia (ALDE). - Signora Presidente, onorevoli colleghi, lo Small Business Act è stato concepito ed è nato in un contesto diverso dall'attuale, in un momento in cui c'era crescita e c'era sviluppo. Noi ci troviamo ad approvarlo oggi in Parlamento in un contesto tutto diverso, mentre le PMI soffrono di un grande disagio e di una grande difficoltà perché sono investite dalla bufera della crisi produttiva e della crisi finanziaria.

Allora il primo significato della nostra approvazione in Parlamento, io credo, dev'essere questo: vogliamo dire alle PMI che il Parlamento e le istituzioni europee sono a fianco a loro e vogliono rafforzare la volontà e la capacità di resistenza che oggi le piccole e medie imprese in Europa dimostrano di fronte alla bufera della crisi. Vogliamo rafforzarla indicando la priorità di questo sostegno e dicendo cose concrete: il richiamo a una legislazione più agile, il richiamo alla messa a disposizione di strumenti che consentano un clima meno ostile all'attività di queste realtà.

Il secondo punto che io credo noi dobbiamo evidenziare è quello di aiutare le PMI in quello che oggi è il fattore più critico per loro, cioè l'accesso al credito, l'accesso e la disponibilità. Non bastano i fondi messi a disposizione con la BEI: dobbiamo assolutamente dire – e lo diremo domani – che vogliamo fare di più per dare credito alle piccole e medie imprese.

Kryzys finansowy i będący jego skutkiem kryzys gospodarczy wywołują ze strony pracodawców próby zmian prawnej sytuacji swych zakładów, by obniżyć koszty działalności, w tym koszty związane z realizacją praw pracowniczych i obowiązków socjalnych. Dlatego poszukują dla swych spółek siedzib w krajach, gdzie przepisy i warunki ekonomiczne dają szansę na obniżenie kosztów, bo zobowiązania prawne, np. wysokość płacy minimalnej lub wysokość składki emerytalnej, są niższe. Zawarte w sprawozdaniu zapisy zwracają uwagę, że transgraniczne przenoszenie siedzib spółek nie powinno prowadzić do obchodzenia przepisów prawnych, socjalnych i podatkowych. Prawa pracownicze nie mogą być naruszone. Nie wolno doprowadzić do spirali zaniżania standardów socjalnych. Małe i średnie firmy należy wspierać inna drogą, np. poprzez kredyty.

  Vladimír Remek (GUE/NGL). - Vážení přítomní, v případě zprávy kolegyně Herzogové týkající se malých a středních podniků hovoříme o 70 % pracovních míst a také o vytváření 70 % DPH v Unii. Proto chci iniciativu zpravodajky nejen vysoce ocenit, ale také podpořit. V současné krizi patří SMEs bezesporu k velice ohroženým. Musíme se proto také zasazovat o lepší společenské vnímání malého a středního podnikání. To se stále potýká se řadou překážek. Mnohem hůř než giganty se třeba dostávají k úvěrům. Administrativa a byrokracie, to jsou další „zabijáci“ malého a středního podnikání. Získat veřejnou zakázku je pro SMEs v Evropě stále mnohem těžší než v USA i řadě asijských zemí. Tvrdíme, že jsou pro zdraví evropské ekonomiky klíčové. Dejme jim proto k tomu, aby to potvrdily, šanci i v současné době, kdy se krize šíří dominovým efektem spuštěným finančními giganty a nadnárodními společnostmi.

  Tadeusz Zwiefka (PPE-DE). - Pani Przewodnicząca! Przyjęcie statutu europejskiej spółki prywatnej umożliwi tworzenie takich spółek działających we wszystkich państwach członkowskich na jednolitych zasadach. Chodzi przede wszystkim o przeciwdziałanie obecnym uciążliwym obowiązkom, jakim podlegają małe i średnie przedsiębiorstwa działające w środowisku międzynarodowym. Dla prowadzenia takiej działalności są one de facto zmuszane do zakładania rodzimej spółki w państwie docelowym, co przy 27 różnych systemach prawnych rodzi oczywiście ogromne koszty. Dzięki europejskiej spółce prywatnej będą mogły rejestrować swoją działalność w tej samej formie bez względu na to, czy prowadzą działalność w swoim rodzimym kraju czy w jakimkolwiek innym kraju członkowskim. Oszczędność czasu i pieniędzy na poradach prawnych, zarządzaniu i czynnościach administracyjnych to bez wątpienia znaczące ułatwienie i udogodnienie dla chcących inwestować przedsiębiorców.

Jedna z głównych obaw sceptyków odnosi się do braku wymogu kapitału zakładowego w odpowiedniej wysokości zabezpieczającej wierzycieli. Nic bardziej mylnego. Dowodem na pomyślność spółki bez wymogu kapitału jest spółka limited – najbardziej popularna forma na świecie. Kapitał zakładowy w obecnych czasach został pozbawiony jego najważniejszej funkcji, a mianowicie ochrony wierzycieli. W europejskiej spółce prywatnej ochronę tę przyjmują inne mechanizmy oparte głównie na zwiększeniu jawności działań spółki oraz bliższej współpracy z wierzycielami. Sami partnerzy handlowi nie zwracają obecnie już takiej uwagi na kapitał zakładowy, jak na przepływy tego kapitału, czyli tzw. cashflows, mówiące o wiele więcej o jej wypłacalności niż sam kapitał.

Pozostaje kwestia praw pracowników – tutaj zwłaszcza związki zawodowe obawiają się zaniechania osiągniętych standardów. Alarm ten oceniam jednak jako fałszywy. W zaproponowanym statucie znajduję się bowiem jednoznaczny zapis, zgodnie z którym partycypacja pracowników odbywa się zgodnie z przepisami prawa krajowego. Pewnym niebezpieczeństwem dla atrakcyjności europejskiej spółki prywatnej mogłaby się okazać zbyt nisko zawieszona granica partycypacji pracowników. Uważam, że powinien zostać utrzymany minimalny poziom 500 zatrudnionych, tak aby nie obciążać dodatkowymi kosztami mniejszych przedsiębiorstw.

  Antolín Sánchez Presedo (PSE). - Señora Presidenta, las PYME deben contar más en el ámbito de la Unión Europea, pues representan el 99 % de las empresas, el 70 % de la mano de obra y casi el 60 % del valor de negocio añadido europeo, y desempeñan un papel fundamental en la diversidad, la innovación y la cohesión europea.

Es imprescindible dotarlas de un marco integrado que potencie el espíritu emprendedor, acoja el principio de pensar primero a primera escala en la formulación de políticas y active su enorme potencial. La administración debe adaptarse a sus necesidades y vocación familiar para facilitar su vida, su transmisión, en particular en los casos de enfermedad, jubilación o fallecimiento, y su liquidación.

Los 23 millones de PYME europeas no pueden someterse a los mismos requisitos que las 41 000 grandes empresas. Es esencial un entorno legislativo más simple, sin cargas desproporcionadas. Van en esta dirección el estatuto de la empresa privada europea, las iniciativas destinadas a crear empresas en 48 horas, reducir los costes administrativos en un 25 % para el año 2012, establecer la ventanilla única para el IVA y unos tipos reducidos para servicios con gran intensidad de mano de obra prestados a escala local, o una base consolidada común para el impuesto de sociedades.

Las PYME deben aumentar su participación en el mercado interior y en la contratación pública. Actualmente, sólo el 8 % tiene actividades transfronterizas y su cuota en la licitación pública es del 42 %. Posibilitar la exención de nuevas categorías de ayudas estatales, favorecer la cooperación y modificar la Directiva sobre morosidad para garantizar el pago en 30 días y eliminar barreras en la contratación pública propiciarán unas condiciones de competencia más equilibradas.

La acción europea para asegurar el acceso de las PYME a la financiación a un precio adecuado es clave y vital en estos momentos de crisis. También lo es intensificar la transferencia de los conocimientos y la efectividad de los servicios de apoyo de modo constante.

  Olle Schmidt (ALDE). - Fru talman! Vi vet att småföretag är ryggraden i vår ekonomi. Inte minst i dessa dagar måste EU och medlemsstaterna genom färre regler, mindre byråkrati och lägre kostnader göra det enklare för småföretagen, både för de existerande och för de tillkommande. Små och medelstora företag har en helt annan förmåga än traditionella stora företag att anpassa sig till nya omständigheter och anamma nya rön och teknik.

Förutom att underlätta för småföretag att delta i offentlig upphandling genom bättre tillgång till den inre marknaden, underlätta möjligheterna att hitta kapital och göra statsstödsregler icke-diskriminerande så handlar det om en attitydförändring som genomsyrar allt beslutsfattande, i skolan, högskolan och arbetslivet. Forskning visar att entreprenörskap är starkt sammankopplat med tillväxt. Det kommande svenska ordförandeskapet kommer särskilt att ta upp riktade insatser för att underlätta kvinnligt företagande, en viktig europeisk strategi för framtiden.

  Pilar del Castillo Vera (PPE-DE). - Señora Presidenta, estamos ante un debate a cuyo respecto, en último término, hay que ser conscientes de que no se trata de una norma legislativa —y, por tanto, una norma comunitaria aplicable a los distintos Estados miembros— sino que es un conjunto de referencias, de «benchmarks» para intentar, a partir de ahí, orientar de manera común al conjunto de los países miembros de la Unión Europea en relación con la pequeña y mediana empresa.

Este asunto presenta muchos aspectos, pero me voy a referir a tres entre ellos que me parecen ciertamente sustantivos:

En primer lugar, a la necesidad de eliminar muchas de las barreras legales, muchos de los obstáculos y mucha sobrerregulación que están dificultando, en algunos países de manera extraordinaria, el establecimiento, la creación de pequeñas empresas, y también el desarrollo de esas empresas una vez creadas, porque todo ello les exige unos recursos económicos y humanos, a la hora de afrontar esa sobrerregulación extraordinaria, que no pueden destinar a otros fines.

En segundo lugar, los temas que tienen que ver con la innovación tecnológica y la investigación aplicada. En ese sentido, también hay que hacer un esfuerzo redoblado para que las PYME tengan acceso a los programas comunitarios que también, muchas veces, padecen una sobrerregulación.

Y, por último, creo que es fundamental la relación entre las PYME y el ámbito formativo, el ámbito educativo: o las PYME, las pequeñas empresas, se convierten en el escenario natural de formación complementaria de prácticas de los distintos niveles de la formación, o, realmente, estaremos dejando de contar, o estarán las PYME dejando de contar con unos recursos extraordinarios, así como las personas en formación.

  Lidia Joanna Geringer de Oedenberg (PSE). - Pani Przewodnicząca! Niniejszy wniosek legislacyjny odpowiada w dużej mierze przyjętej przed dwoma laty rezolucji Parlamentu Europejskiego zawierającej zalecenia dla Komisji w sprawie statutu europejskiej spółki prywatnej. Celem wniosku jest stworzenie jednolitej formy przedsiębiorstwa w ramach prawa wspólnotowego, atrakcyjnej dla jednostek małych i średnich, tworzonej na uproszczonych warunkach, przy minimalnych obciążeniach biurokratycznych.

Kapitał założycielski przy proponowanej przez Komisję kwocie 10 tysięcy euro może stanowić korzystny dla wizerunku spółki próg powagi, z drugiej jednak strony kwotę tę w niektórych państwach członkowskich trudniej jest zgromadzić niż w innych. Kapitał zakładowy nie powinien stanowić poważnej przeszkody przy zakładaniu przedsiębiorstwa i dlatego popieram poprawkę kompromisową przyjętą przez Komisję Prawną ustanawiającą kapitał europejskiej spółki prywatnej w minimalnej wysokości jednego euro, ale przy jednoczesnym wymogu podpisania przez organ zarządzający zaświadczenia o wypłacalności.

W kwestii partycypacji pracowników w przedsiębiorstwie decydujące powinno być prawo państwa, w którym spółka ma siedzibę statutową. Należy jednak ustanowić wyjątek od tej reguły, jeżeli prawo partycypacji określonej części pracowników spółki, z którego korzystaliby oni w państwie członkowskim, gdzie faktycznie pracują, byłoby ograniczane przez obowiązujące prawo państwa, w którym europejska spółka ma siedzibę. W takim przypadku kierownictwo przedsiębiorstwa jest zobowiązane do stworzenia jednolitego dla spółki systemu partycypacji w ramach rozwiązania wynegocjowanego z przedstawicielami pracowników.

Na koniec chciałam dodać, że ta nowa forma spółki nie zastępuje istniejących krajowych form przedsiębiorstwa, lecz oferuje alternatywę dla nich, i to tylko wtedy, gdy spełnione zostaną określone warunki założenia takiego przedsiębiorstwa.

  Giles Chichester (PPE-DE). - Madam President, as a small businessman with some 25 years’ experience in the ‘real world’, I support the broad thrust of the Small Business Act and the report by Mrs Herczog from my committee.

In particular, I would like to welcome the proposal for a directive on reduced VAT rates for labour-intensive and locally supplied services, particularly at this point in time.

I also welcome the amendments calling for implementation of the results of the high-level expert group on the reduction of administrative burdens. If ever small businesses needed something, it is the reduction of administrative burdens.

I welcome, too, the amendment calling for a swift agreement on the Community patent, adapted to the needs of SMEs. Mind you, ‘swift’ and ‘Community patent’ are not words and concepts that go comfortably together.

I also welcome the call for improving access to finance because, in the current economic climate, access to finance is crucial for the survival, let alone the prospering, of small businesses.

However, I have two reservations. The first concerns the proposal for a common consolidated tax base, because I fear that this would remove flexibility from SMEs and also from Member States. Secondly, I have personal doubts about the merits and benefits of changing the Late Payment Directive. I personally have always had doubts about the worth of this measure to small businesses, because I feel that they are better off managing their own credit than leaving this to legislation.

  Joel Hasse Ferreira (PSE) - Senhora Presidente, Comissário, caros colegas, procuramos sublinhar neste relatório sobre as PME a importância das PME incluindo as empresas familiares e as integradas na economia social. Queria felicitar a minha colega Edit Herczog, já que o seu relatório é importante neste domínio. Outros documentos e outros textos têm sido feitos nesta área e é importante a sua convergência. Citaria o programa europeu EUROSTARS e o relatório sobre contratos pré-comerciais.

Senhora Presidente, é também de sublinhar no relatório as numerosas maneiras de reduzir a burocracia para facilitar a criação deste tipo de empresas, aproveitando a sua capacidade de iniciativa, facilitando o lançamento de novos negócios, envolvendo a fabricação de novos produtos, o funcionamento de novos serviços adaptados às necessidades dos consumidores e de outras empresas, potenciando assim o desenvolvimento da economia europeia. Mas queria referir algo que me parece muito importante, que é o que está referido no parágrafo 47 do relatório Herczog. É recomendável que se melhorem alguns aspectos do sistema legal e de tributação dos Estados-Membros nesta matéria, pois o actual modelo na maior parte dos Estados pode dissuadir a transferência de empresas, em particular de empresas familiares aumentando o risco de liquidação ou de encerramento da empresa. É necessário assim rever cuidadosamente o seu quadro jurídico e fiscal para melhorar as condições para a transferência de empresas e promover e aplicar modelos eficazes de transferência de empresas para os trabalhadores como alternativa ao seu encerramento. Tal actuação permitiria defender os postos de trabalho e reinvestir os lucros para um melhor desenvolvimento dessas empresas.

A terminar, salientaria que o apoio a projectos inovadores das pequenas e médias empresas, o acesso mais facilitado a fundos europeus e o melhorado acesso ao crédito, nomeadamente as circunstâncias que vivemos, mas não só, serão factores importantes no apoio às PME.

  Dragoş Florin David (PPE-DE). - Vreau în primul rând să mulţumesc raportoarei şi celor care au lucrat la poate cel mai important act legislativ al acestei ultime legislaturi.

Trebuie subliniat că acordăm în primul rând o importanţă deosebită IMM-urilor şi antreprenoriatului feminin, pentru că tocmai am trecut de ziua de 8 martie, ziua internaţională a femeilor, şi pe această cale le spun la mulţi ani. Trebuie să subliniem, totuşi, că este un act destul de complex, în care am inclus tot ce se putea include referitor la IMM-uri, reducerea birocraţiei, acordarea unei importanţe deosebite activităţilor de cercetare şi dezvoltare în cadrul IMM-urilor şi finanţărilor aferente pentru aceste activităţi.

Cred că va fi un act legislativ de bun augur în această perioadă de criză economică, pentru că economia europeană are nevoie de coeziune şi are nevoie de cel mai important motor, IMM-urile. Din acest motiv, cred că trebuie să avem un sprijin cât mai puternic al Comisiei şi al Consiliului, să accelerăm aprobarea acestui act şi să putem pune în valoare forţa şi dinamica economiei europene în acest domeniu, pentru a ţine acasă, aici în Europa, tot ceea ce înseamnă producţie şi economie europeană.

Într-un final, trebuie să rugăm Comisia să găsească cât mai multe surse de finanţare şi să pună la dispoziţia IMM-urilor cât mai multe mecanisme de creditare.

  Zsolt László Becsey (PPE-DE). - A kis- és középvállalkozásokhoz kapcsolódó jelentés kapcsán először is szeretnék gratulálni a Bizottságnak és főleg a jelentéstevőnek, Herczog asszonynak a nagyszerű munkához. Sajnálom ugyanakkor, hogy ez a jelentés nem az eljárási szabályzat 39. pontja szerint készült, konkrét jogszabályalkotási javaslatokra kérve a Bizottságot.

Fontosnak tartom azt is, hogy a tagállamok számára konkrétan éljünk azzal a feladattal, hogy éves lisszaboni jelentéseikben számoljanak be az előrehaladásról. Enélkül csak írott szó marad az itt megfogalmazott jó javaslatok többsége. Egyetértek Herczog Edittel abban is, hogy fontos politikai konzekvencia még az új tagállamok, és főleg az eurózónán kívüliek preferenciális kezelése az egész gyakorlatban, hiszen ők, a kis- és középméretű vállalkozások általánosan hátrányos helyzete mellett még különösen nehéz helyzetben vannak, márpedig a válság áthidalása szempontjából kiemelkedően fontos szerepük lehet.

Csak néhány belső piaci elem: valóban gond az, hogy a kkv-k csak 8%-a végez határon átnyúló tevékenységet, ezt növelni kell. Ehhez az ilyen tevékenység segítése, különösen mentori akciókkal szükséges. Egyrészt az adminisztráció csökkentésével, másrészt segíteni az áfával kapcsolatos tevékenységekben, mint az egyablakos rendszer vagy a csökkentett áfakulcs. Emellett közösségi szinten is segíteni kell a közbeszerzések erősebb kkv-orientációját, például ezek gyakoribb fővállalkozóként történő megnyitásával, vagy kifejezetten a részükre történő piacnyitással.

Az általam vezetett SMI Circle részéről hangsúlyozottabban szeretnénk eredményt látni egy mélyreható garancia- és hitelrendszer uniós szintű megvalósításában. Remélem, hogy az új EIB lehetőség beváltja a hozzáfűzött reményeket. A fizetési irányelvek gyors megvalósításra és a tartozások áthidalására pedig tagállami szinten kell koordinált lépéseket tenni. Összességében mind a piackutatás, mind az adminisztrációs kihívások kezelésében fontos egy mentori rendszer tagállami megerősítése és az uniós segítség ennek erősítésére kell, hogy siessen.

  Jacques Toubon (PPE-DE). - Madame la Présidente, je voudrais me féliciter de la discussion et de l'adoption de ce statut de la société privée européenne et je voudrais en particulier dire tout le mérite de notre rapporteur, M. Lehne. Je pense que le texte qui sera adopté par notre assemblée, d'une certaine façon, portera son nom, et cette société privée européenne sera la société Klaus-Heiner Lehne pour la postérité.

Je voudrais simplement faire une remarque sur un point. M. Becsey vient de le dire à l'instant et je partage son sentiment. Je crois que les dispositions que le compromis propose pour la participation des travailleurs vont à l'encontre de l'objectif recherché, c'est-à-dire à l'encontre de la facilité et de l'efficacité de ce statut pour les petites et moyennes entreprises.

Je pense qu'installer la cogestion à un tel niveau, c'est-à-dire pour des entreprises si petites, est une erreur. Je comprends parfaitement que l'on soit attaché à ce système de gestion sociale et économique qui a fait ses preuves, mais je pense qu'en l'occurrence, nous perdons une part de l'efficacité du statut que nous proposons et qui va être adopté, en imposant à des compagnies de petite taille des systèmes de cogestion qui ne sont, à mon sens, adaptés qu'aux grandes entreprises. Mais, moyennant cette réserve, je pense que ce texte est excellent.

  Martí Grau i Segú, Ponente de opinión de la Comisión de Mercado Interior y Protección del Consumidor. – Señora Presidenta, en primer lugar quisiera dar las gracias a la ponente, la señora Herczog, por su informe y por la colaboración que ha ofrecido a los responsables de las opiniones de las demás comisiones.

Como ponente de opinión de la Comisión de Mercado Interior y Protección del Consumidor quisiera señalar brevemente los tres elementos que nos parecen esenciales –aunque también en cuanto a otros elementos tenemos un consenso muy amplio– y que nos gustaría destacar en la opinión que elaboramos en su momento.

En primer lugar, la necesidad de actuar ante la situación que se crea en muchas ocasiones en el momento de la jubilación del empresario en la pequeña y mediana empresa. Demasiadas veces, la jubilación supone el fin de la actividad de estas empresas o, en otros casos, la absorción por empresas mayores, con lo cual dejan de tener su naturaleza de pequeña y mediana empresa.

En segundo lugar, el valor de la formación como elemento clave, tanto para mejorar las capacidades de las empresas y de sus profesionales como para poner de relieve el valor social de las empresas en el conjunto más amplio de la sociedad.

Por último, hacer especial referencia a las mujeres, que son las que siguen experimentando las mayores dificultades para sacar adelante este tipo de empresas.

  Richard Corbett (PSE). - Madam President, I rise to challenge Mr Allister on what he said earlier in his ludicrous comments about the supposed costs of EU regulation to businesses, and in particular British businesses.

These are based on some so-called studies which are being hawked around the British Euro-sceptic press at the moment with ever more lurid calculations about these costs.

However, those studies are wrong on three counts. First, they exaggerate the amount of legislation that is adopted at EU level instead of national level, quoting 50% or more whereas most national studies show it to be between 6 and 15%. Secondly, they take no account of the fact that EU legislation, when we get it right, cuts costs to businesses and cuts red tape by having a single set of standards – common rules for the common market – instead of 27 divergent and separate ones. Thirdly, they take no account of the fact that when we do impose costs, it is often deliberate in order to save money downstream. When we require cigarettes to have a health warning system, or when we require asbestos to be phased out of our products and our workplaces, it is in order to cut health costs and save lives for people downstream.

These studies cynically make no attempt to balance up the whole picture, and it is a scandal that somebody who claims to represent all of his voters only looks at one side of the argument.

  Ieke van den Burg (PSE). - Madam President, it is a pity that Mr Toubon is leaving the room, because I wanted to respond to an accusation he made concerning our compromise: namely that it requires new heavy burdens on SMEs. In fact, in the compromise, the status quo is being resettled for mergers, divisions of companies and transfers of seats. Regarding new companies starting from scratch, there is a fairly high threshold for companies with fewer than 500 employees. Those with between 500 and 1 000 employees have exactly what is in the other directives. One cannot say that this is making the status quo even heavier; it is making it lighter. In this consultation with the social partners, we want to look at simplification and a better system which is harmonised all over the EU.

  Ján Figeľ, Member of the Commission. − Madam President, I would like to thank everyone for a very interesting debate. First of all, I apologise on behalf of my colleague, Charlie McCreevy, who has an Ecofin commitment early tomorrow. His absence is due to preparations for that.

I wish to respond to some of the points raised. Part of the response lies in the overall process which we are driving together including, for example, the great political signals Parliament has sent to SMEs in 2009. These provide good encouragement, especially in a time of crisis, especially as we believe that SMEs have very high potential and that they deserve specific attention – mainstreaming, for example, the connection between education, training and SMEs.

I am pleased that, since 2007, we have been working together with DG Enterprise and Commissioner Verheugen on entrepreneurial education, which is very much needed in Europe and lags behind many other areas. I could quote many examples of good instruments – such as Erasmus for Young Entrepreneurs – but do not want to speak on these just now. It is a process of many issues around access to finance. The EIB is now freeing up space and volume for credits: EUR 30 billion for SMEs, EUR 1 billion a year more for medium-sized corporations, and an additional EUR 1 billion for mezzanine financing.

We recently decided, as you know, to relax the rules on state aid, levering the de minimis threshold to EUR 500 000, which means better conditions in general for more intensified state aid. This will also help facilitate subsidies for the production of green products.

Mr Karas spoke on the Small Business Act (SBA). Some Member States are already monitoring and reporting on SBA implementation. This was the case in 2008 and, starting in 2009, there will be annual assessment by Member States as part of all national reform programmes. We will therefore know more, and this culture of mainstreaming and support will grow.

On public procurement and SMEs, the Commission held vast consultations with stakeholders, including business organisations. One real problem lies with application of the rules by public buyers. We need more competition, more transparency and no discrimination, but the good news is that 42% of volume, above EU thresholds, is already going to SMEs in the European Union, which is really significant support.

Mr Wurtz spoke on the separation of registered offices and headquarters, and the problem of a potential erosion of employee participation. The separation of SMEs’ registered offices and headquarters is already general practice in half of the Member States, including those with very high standards of social policy safeguards. It ensures the flexibility companies need when doing business in more than one country.

Regarding the 30-day request by Mr Beaupuy, this should be dealt with in the proposal already in the pipeline on late payments, which should be adopted in the Commission before the end of the month.

The issue of consultations and worker participation has been much discussed here – and not only today. As part of its preparations, the Commission conducted, between July and October 2007, a public consultation on the potential SPE. Representatives of trade unions, including European trade unions, presented their views at conferences, especially during 2008. A major conference was held in March 2008, and we discussed these questions with experts from European trade unions several times that year. I want to underline one important thing, which is the legal basis. This is not Article 138, because we are not in the field of social policy, but Article 308, making it a different initiative based on unanimity of the Member States. There was no reason to launch a specific consultation under the former article.

I want to remind you that we already targeted large public companies when we launched the proposal on the European company, and that SPE proposal was designed for SMEs. Employees’ information and consultation rights were dealt with in 2001, in the first directive on the European company.

Since 2002, we have had a general framework for informing and consulting employees in the European Union. There is no reason to disregard these rules and come up with a different solution in this current proposal on the SPE.

If workers’ collective rights are to be improved, which is our intent, this should not be done only in respect of one type of company, but through a more general initiative that also takes into account the different traditions in the Member States.

We have already made important progress in the evaluation of employees’ rights in the European company statute. Follow-up measures will be considered when the full assessment is completed in 2010.

Some points were made on why there was not more input into taxation and accounting. I would remind you that we do not have general legislative power on every issue. Legislative initiatives on company law, insolvency law, accounting and tax law are attached to very specific, and often restrictive, legal bases in our Treaties, and the existing Treaty hardly serves as a basis for a complete body of European business law.

Last but not least, I want thank you for a very open and constructive debate, and also for real cooperation on SME policy issues. I see many friends of SMEs here. The recommendations in the first report will be taken into account in the implementation of the action plan, and especially in all relevant issues connected to small businesses.

Concerning Mr Lehne’s report, a lot of work still needs to be done because we need to achieve agreement in the Council. We will need some time, especially in the light of unanimity, but your input can really soften the atmosphere and help to find real consensus and approval. We want to facilitate this progress and to put in place a statute which really helps European businesses.

On the cross-border transfer of registered offices, the Commission agrees that companies should be free to move their seat within the European Union, provided that the rights of shareholders, creditors and employees are guaranteed. We therefore need to strike the right balance between freedom of establishment and the interests of third parties.

I would conclude by saying that this is the European Year of Creativity and Innovation, and that it is very important to have an approach which brings forward the creative potential of our businesses. People are very important, not only because there is a crisis, but because there is no greater potential than that of human beings. Issues such as IPRs or the Community patent could in the near future be addressed through a more open-minded and open-hearted political approach. Europe could be more innovative and creative in supporting SMEs.

  Klaus-Heiner Lehne, Berichterstatter. − Frau Präsidentin, sehr geehrter Herr Kommissar! Vier Bemerkungen. Erstens zur Sitzverlegungsrichtlinie. Ich denke, die Kommission sollte ihre Argumentation aufgeben. Sie läuft Gefahr, sich in der Fachwelt lächerlich zu machen. Die Theorie, dass man ja eine Sitzverlegung dadurch regeln könne, dass man in einem Nachbarstaat ein Unternehmen gründet und dann mit Hilfe der Fusionsrichtlinie das eigene Unternehmen mit diesem neugegründeten Unternehmen verschmilzt, ist an Bürokratie kaum noch zu überbieten. Wir reden hier von Bürokratieabbau und davon, dass wir für KMU Dinge erleichtern wollen. Dieser Vorschlag ist nur ein Beleg dafür, wie unsinnig das Festhalten der Kommission an der Nichtvorlage zur 14. Richtlinie ist. Das ist ein Geschäft für Anwälte, das hilft aber sonst niemandem.

Zweiter Punkt, die Mitbestimmung. Frau van den Burg hat Recht. Wirkliche kleine und mittelständische Unternehmen sind durch den Kompromiss, den wir vorgelegt haben, überhaupt nicht betroffen. Es geht ausschließlich darum, Missbrauchsfälle zu vermeiden und Unternehmen, die wirklich große Unternehmen sind und die eigentlich von der Zahl ihrer Mitarbeiter her passender zur Europäischen Aktiengesellschaft statt zur Europäischen Privatgesellschaft werden würden, ebenfalls zu erfassen. Es gibt praktisch nur Missbrauchsfälle, die erfasst sind.

Dritter Punkt, die Sitztheorie. Es gibt nur noch sieben Mitgliedstaaten, die der Sitztheorie anhängen. Es sind nur noch sieben! Deutschland als größter Mitgliedstaat hat im letzten Jahr die Sitztheorie aufgegeben. Der Europäische Gerichtshof vertritt sie ohnehin nicht, sondern lässt sie in Ausnahmefällen, wie bei Cartesio belegt, zu. Der Zug ist abgefahren. Der Streit darüber bringt nichts mehr.

Vierte Bemerkung: Die Argumentation der Linken – vorhin war während der Debatte kein Vertreter mehr zugegen –, dass man den Vorschlag ablehnen müsse, berücksichtigt – und da hat der Kollege Medina vollkommen Recht – nicht den Inhalt des Berichts. Alles, was an Kritik vorgetragen wurde, ist durch den Inhalt des Berichts eigentlich erledigt. Darum sollte vielleicht auch die Linke noch einmal darüber nachdenken, ob sie nicht den Bericht und die Anträge noch einmal liest und dann noch einmal in der Fraktion berät.

  Edit Herczog, rapporteur. − Madam President, it is a great pity that all of my voters are not here in the room, because it was wonderful to listen to so many Members from so many countries and so many parties welcoming my report on the Small Business Act. However, I have to say that my report would not have been possible without the Commission, namely Mr Verheugen and his small business team, Mrs Le Bail and others. I would also not have been able to do it without the Small Business Intergroup.

Most of my colleagues agreed with everything in the report, as can be seen from the fact that not too many amendments were introduced. Some colleagues asked why it is not legally binding. It is not legally binding by nature for many reasons. However, tomorrow we will ask for a roll-call vote on many paragraphs in order to prove the Parliament's common action and the Council's common requirement to do this.

Finally, I would like to say that exactly 200 years ago Darwin published his book on the origin of species. He said that the survivor is not the strongest, but the one most able to adapt. I think what we have done with the Small Business Act is to create a place for Member States to adapt and manoeuvre, and for small businesses within the Member States to adapt faster, survive this crisis and face the next challenges.   Gabriela Creţu (PSE), în scris. Aş dori doar să subliniez două aspecte absolut necesare:

Pe lângă facilităţile legale şi administrative, accesul la finanţare este esenţial. Crearea unui fond special dedicat IMM-urilor, ca şi dezvoltarea microcreditului sunt condiţii fără de care acestea nu pot rezista în condiţiile dificile ale pieţei, iar înfiinţarea de noi IMM-uri ar fi mult limitată.

Al doilea aspect este legat de statutul femeilor mici întreprinzătoare. Acesta nu diferă semnificativ, în multe situaţii, de al angajatelor. Argumente pot fi slaba dezvoltare a serviciilor care pot asigura compatibilizarea vieţii private şi activităţii productive, dar şi mediul concurenţial dur în care reţelele contează foarte mult. Asemenea reţele, prin care circulă informaţii şi se poate oferi suport la nevoie, sunt prezente în cazul întreprinderilor conduse de bărbaţi; femeile sunt mai vulnerabile din acest punct de vedere; din acest motiv, asocierile între întreprinderile conduse de femei şi cele conduse de bărbaţi trebuie stimulat.

Solicităm, de asemenea, recunoaşterea, în toate statele membre, a statutului de coproprietari pentru femeile care lucrează în cadrul micilor afaceri de familie; cel mai adesea, proprietar este bărbatul, iar ele sunt considerate lucrători familiali neremuneraţi; astfel, nu au nici măcar beneficiul asigurărilor sociale de care se bucură angajaţii, iar la bătrâneţe sau în cazul separării partenerilor consecinţele negative sunt evidente şi dezastruoase...

  Adrian Manole (PPE-DE), în scris. Competitivitatea IMM-urilor este adesea diminuată de barierele ce se ridică în calea comerţului transfrontalier. Înlăturarea acestor bariere ar aduce mai multă stabilitate juridică şi ar permite un calcul mai eficient al riscurilor în materie de răspundere a întreprinderilor şi întreprinzătorilor. Prin acest raport, Parlamentul European a dovedit că a înţeles pe deplin rolul crucial pe care îl joacă întreprinderile mici şi mijlocii în domeniul competitivităţii economiei europene.

Un statut de companie privată europeană bine gândit, reprezentând o completare a formelor legale deja existente, ar fi în beneficiul competitivităţii IMM-urilor europene din multe puncte de vedere, consolidând piaţa internă europeană, simplificând cadrul legal pentru întreprinderi, reducând astfel costurile de consultanţă şi facilitând accesul la pieţele transfrontaliere, îmbunătăţind integrarea şi creşterea economică.

Acest statut ar oferi, de asemenea, mai multă flexibilitate IMM-urilor.

IMM-urile reprezintă mai mult de 90% din economia UE şi două treimi din locurile de muncă. Ar trebui, aşadar, să li se acorde cele mai bune condiţii pentru a contribui la creşterea economică într-o piaţă internă integrată, pentru a fructifica oportunităţile şi a face faţă provocărilor globalizării.

  Søren Bo Søndergaard (GUE/NGL), skriftlig. Formålet med dette forslag er ifølge Kommissionen ”at forbedre rammebetingelserne for erhvervslivet” på EU's indre marked.

Det sker ved at give virksomheder mulighed for frit at vælge deres hjemstedsadresse i et EU-land, uanset hvor deres faktiske aktiviteter foregår, samt kun være forpligtet til at overholde hjemstedets love.

Dermed åbnes der en ladeport for omgåelse af opnåede arbejdstagerrettigheder i EU's medlemslande.

Sandheden er konkret. Tillad mig derfor at være konkret.

Et dansk aktieselskab med hjemsted i København med 35 ansatte er i henhold til dansk lovgivning forpligtet til at acceptere, at medarbejderne vælger repræsentanter til virksomhedens ledelse. Det sikrer medarbejderne en vis indsigt i virksomhedens situation og fremtid.

Hvis det fremlagte forslag vedtages uændret, så kan det pågældende firma bare lade sig registrere som et europæisk firma med hjemsted i Finland. Så kræves der pludselig over 150 medarbejdere for at opnå medarbejderrepræsentation. Og i de fleste andre EU-lande er det endnu værre.

Måske bliver Kommissionens forslag forbedret en smule i de kommende forhandlinger. Måske bliver den endelige vedtagelse lidt mindre slem.

Alligevel må spørgsmålet stilles: Hvorfor? Hvorfor fremlægger Kommissionen igen og igen forslag hvis eneste formål er at forringe lønmodtagernes rettigheder? Kan det mon skyldes, at der er et eller andet fundamentalt galt med EU?
